Caliberly in Dubai, UAE is seeking a detail-oriented Corporate Legal & Compliance Executive to support the Group's legal, corporate secretarial, and regulatory compliance functions across the UAE and international jurisdictions.

The role involves managing incorporation, governance, licensing, legal documentation, regulatory coordination, and corporate records while ensuring compliance with applicable laws and governance standards.

Qualifications

• Bachelor's Degree in Law (LLB) or equivalent
• CS qualification or relevant compliance certification is an advantage

Responsabilités

• Support end-to-end corporate secretarial functions for Group companies in the UAE and international jurisdictions.
• Assist in governance frameworks, compliance reviews, and internal control processes.
• Coordinate Board Meetings, General Meetings, prepare agendas, minutes, and maintain statutory registers and corporate records.
• Ensure timely filing of statutory documents and regulatory submissions.
• Monitor compliance with corporate laws and governance requirements.
• Draft, review, and maintain agreements, contracts, MOUs, and other legal documents.
• Coordinate with external counsel for opinions and documentation.
• Maintain legal document repositories and version control.
• Coordinate incorporation across UAE Mainland, Free Zones, and Offshore jurisdictions.
• Support restructuring of holding companies and international entities.
• Process post-incorporation amendments including share transfers, changes in directors, and license renewals.
• Coordinate company liquidation and deregistration processes.
• Liaise with regulators and authorities (VARA, DLD, RERA, etc.).
• Maintain compliance calendars and ensure renewals.

Formation

Bachelor's Degree in Law (LLB)

Company Secretary (CS) qualification or relevant compliance certification
