EWEC (Emirates Water and Electricity Company) is the sole procurer and supplier of water and electricity in the emirate of Abu Dhabi. EWEC drives the planning, forecasting, purchasing, and system despatch services of water and electricity. EWEC fulfils these vital responsibilities through the short-term and long-term balancing of bulk supply and demand for distribution companies and authorities in Abu Dhabi and other Emirates. EWEC is supporting the government of Abu Dhabi and the government of the UAE by enabling the reduction of cost whilst also providing the increased security of supply that comes from a cleaner, larger, and more integrated system.

EWEC is mandated to implement strategic initiatives that will achieve the 60 per cent clean energy target outlined in the Abu Dhabi Department of Energy's (DoE) Clean Energy Strategic Target 2035 for Electricity Production in Abu Dhabi, in addition to enabling the achievement of UAE Water Security Strategy 2036, UAE Energy Strategy by 2050, and the UAE Net Zero by 2050 strategic initiative. We are looking to hire a Deputy General Counsel - Corporate & Business Operations - UAEN, to join EWEC.

The Deputy General Counsel (DGC) is responsible for providing in-house legal advice, support, and representation across the organisation to ensure that all activities are completed in accordance with applicable laws by effectively managing and administering the legal framework and compliance requirements of the organisation to ensure continuity of business and that the interests of the organisation are adequately protected. In addition, this role is responsible for deputising the General Counsel in all corporate legal matters, managing the general commercial aspects of EWEC (non-sector specific); and being the key individual responsible for all local law aspects of EWEC’s business.

Responsibilities

• Manage and co-ordinate Board and Committee meetings, ensuring compliance with all legal and regulatory requirements
• Draft and review Board and Committee resolutions, minutes, and other required governance documents.
• Advise the General Counsel and wider executive management on corporate governance best practices and legal implications.
• Draft, review and negotiate a wide range of commercial agreements with a focus on consultancy support.
• Ensure all agreements align with EWEC’s business objectives and comply with all relevant laws and standards.
• Provide legal guidance on contractual obligations, rights and risks associated with respective transactions.
• Manage the identification and evaluation of legal risks that may impact the organisation, developing and implementing mitigation measures where necessary.
• Analyse and evaluate the legal impact of sector developments on EWEC’s operational and business activities in close cooperation with impacted functions.
• Deputise for the General Counsel on all Corporate aspects associated with the Legal and Regulatory Directorate as required.
• Develop and execute the department strategy, policies and procedures in alignment with the organisational / directorate objectives and updating as required to meet the changing needs of EWEC.
• Coach, mentor and develop the team to help them achieve their career development plans and goals.
• Develop the identified opportunities for continuous improvement of systems, processes and practices taking into account ‘international leading practice’ and changes in business environment and leveraging insights.

Requirements

• Bachelor’s degree in Law or related field
• Master’s degree in Law or related field is preferred

Minimum of 7-10 years of extensive experience in high performing legal enviroment, of which 2-4 years in a managerial position, preferably in a :

• Diverse / multi-cultural business industry (obtained from medium to large organisation)
• Multi-national company.
• International Law Firm;
• Energy and utility sector preferred
