Job description

Core Mission

We are seeking a dynamic and highly skilled Corporate and Commercial Lawyer with 5 years of post-qualification experience (PQE) to join our growing legal team. The successful candidate will be responsible for handling a wide range of corporate and commercial legal matters, with a specific focus on Mergers & Acquisitions (M&A), corporate contracts, loan and finance agreements. This is an exciting opportunity for a lawyer looking to take on significant responsibility in a fast-paced environment and further develop their legal expertise in key areas of corporate law.

Main Responsibilities Mergers & Acquisitions (M&A):

Lead and support on the structuring, negotiation, and documentation of M&A transactions.

Draft and review term sheets, sale and purchase agreements (SPAs), share purchase agreements (SPAs), and other transaction-related documents.

Conduct due diligence, identify and mitigate legal risks, and coordinate with other advisors (financial, tax, etc.) to ensure seamless transactions.

Provide strategic advice on the commercial and legal implications of M&A deals. Loan Agreements and Financing:

Draft, negotiate, and review loan agreements, security documents, inter-creditor agreements, and related financing documents.

Advise on regulatory requirements and ensure compliance with applicable laws in relation to financing arrangements.

Provide support on refinancing, restructuring, and other financing-related matters. Commercial Contracts:

Draft, review, and negotiate a variety of commercial agreements, including supply agreements, service contracts, and distribution agreements.

Provide ongoing advice on day-to-day commercial contract matters and dispute resolution.

General Legal Support:

Provide timely and accurate legal advice to the business on a broad range of corporate and commercial matters.

Collaborate with business teams to identify legal risks and opportunities and assist in decision-making.

Keep up to date with relevant legal developments and trends, providing proactive advice to minimize risk and maximize business opportunities. Requirements Education

Legal Knowledge: In-depth knowledge of corporate law, M&A practices, commercial contract law, financial regulations, and logistics-related laws.

Education: Law degree from a recognized institution (LLB or equivalent).

Certifications: Western certification from England and Wales/US. Experience

PQE: At least 5 years of post-qualification experience in corporate and commercial law, with a strong background in M&A, loan agreements, and logistics.

Experience: Demonstrated experience in handling complex M&A transactions, drafting and negotiating loan agreements, and advising on logistics business-related legal matters. Skills / Abilities
