The candidate will handle due diligence for M&A and investment transactions, draft and review commercial agreements, and assist with business setup and restructuring projects under UAE law.

• Support company incorporations, restructurings, liquidation, and governance matters.
• Draft, review, and negotiate legal documents.
• Assist with transaction execution, closing docs, and post‑deal integration.

• Liaise with regulatory authorities, clients, and external counsel.

We are seeking an experienced Corporate Lawyer with strong UAE legal and regulatory experience to support corporate transactions, legal due diligence, corporate structuring, and ongoing legal advisory matters. The ideal candidate will have hands-on experience advising clients on UAE corporate laws, conducting legal due diligence for M&A and investment transactions, drafting commercial agreements, and supporting business setup and restructuring projects across the UAE.

Key Responsibilities

• Conduct comprehensive legal due diligence for mergers, acquisitions, investments, joint ventures, and corporate restructuring transactions
• Review corporate documents, constitutional documents, commercial contracts, licenses, permits, employment agreements, and regulatory filings
• Prepare detailed due diligence reports highlighting legal risks, liabilities, and mitigation recommendations
• Advise clients on UAE corporate and commercial laws, including mainland and free zone regulations
• Support company incorporations, corporate restructuring, liquidation, and governance matters across various UAE jurisdictions
• Draft, review, and negotiate legal document
• Assist with transaction execution, closing documentation, and post-transaction integration matters
• Advise on regulatory compliance requirements and corporate governance obligations
• Liaise with regulatory authorities, free zone authorities, clients, and external legal counsel
