Job summary

Andersen seeks an experienced Corporate Lawyer with strong UAE regulatory experience to support corporate transactions and ongoing advisory matters across the UAE.

Responsibilities include due diligence for M&A, drafting commercial agreements, and assisting with business setup and restructuring projects in Dubai and other emirates. The role requires hands-on UAE law knowledge and ability to liaise with authorities and external counsel.

Qualifications

• Experience with UAE corporate laws and regulations.
• Proficient in conducting legal due diligence for mergers and acquisitions.
• Drafting and negotiating commercial agreements and corporate documents.

Responsibilities

• Conduct comprehensive legal due diligence for mergers, acquisitions, investments, joint ventures, and corporate restructuring transactions
• Review corporate documents, licenses, permits, and regulatory filings
• Prepare detailed due diligence reports highlighting legal risks and mitigations
• Advise on UAE corporate and commercial laws, including mainland and free zone regulations
• Assist with company incorporations, restructuring, liquidation, and governance matters across UAE jurisdictions
• Draft, review, and negotiate legal documents
• Support transaction execution, closing documentation, and post-transaction integration
• Advise on regulatory compliance requirements and governance obligations
• Liaise with regulatory authorities, free zone authorities, clients, and external counsel
• Conduct legal research and provide practical legal solutions to stakeholders

The ideal candidate will have hands-on experience advising clients on UAE corporate laws, conducting legal due diligence for M&A and investment transactions, drafting commercial agreements, and supporting business setup and restructuring projects across the UAE.

Key Responsibilities

• Conduct comprehensive legal due diligence for mergers, acquisitions, investments, joint ventures, and corporate restructuring transactions
• Review corporate documents, constitutional documents, commercial contracts, licenses, permits, employment agreements, and regulatory filings
• Prepare detailed due diligence reports highlighting legal risks, liabilities, and mitigation recommendations
• Advise clients on UAE corporate and commercial laws, including mainland and free zone regulations
• Support company incorporations, corporate restructuring, liquidation, and governance matters across various UAE jurisdictions
