We are seeking a dynamic and highly skilled Corporate and Commercial Lawyer with 5 years of post-qualification experience (PQE) to join our growing legal team. The successful candidate will handle a wide range of corporate and commercial legal matters, focusing on Mergers & Acquisitions (M&A), corporate contracts, loan, and finance agreements. This is an exciting opportunity for a lawyer eager to take on significant responsibility in a fast-paced environment and develop expertise in key areas of corporate law.

Main Responsibilities:

  1. Mergers & Acquisitions (M&A):
  • Lead structuring, negotiation, and documentation of M&A transactions.
  • Draft and review term sheets, sale and purchase agreements (SPAs), and related documents.
  • Conduct due diligence, identify legal risks, and coordinate with advisors to ensure seamless transactions.
  • Provide strategic legal advice on M&A deals.
  • Loan Agreements and Financing:
    • Draft, negotiate, and review loan agreements, security documents, and related financing documents.
    • Advise on regulatory compliance and assist with refinancing and restructuring.
  • Commercial Contracts:
    • Draft, review, and negotiate commercial agreements such as supply, service, and distribution contracts.
    • Provide ongoing legal advice and dispute resolution support.

    General Legal Support:

    • Provide timely legal advice on corporate and commercial matters.
    • Collaborate with business teams to identify risks and opportunities.
    • Stay updated on legal developments to advise proactively.

    Requirements:

    Legal Knowledge: Deep understanding of corporate law, M&A, commercial contracts, financial regulations, and logistics laws.

    Education: Law degree (LLB or equivalent) from a recognized institution.

    Certifications: Western certification from England and Wales / US.

    Experience: Minimum 5 years PQE in corporate and commercial law, with experience in M&A, loan agreements, and logistics legal matters.

    Skills / Abilities:

    • Strong drafting and negotiation skills.
    • Excellent problem-solving and strategic thinking.
    • Ability to manage multiple tasks in a fast-paced environment.
    • Attention to detail and proactive approach.
    • Strong communication skills, both written and verbal.

    Preferred Skills:

    • Experience in a corporate legal department or in-house legal team.
    • Familiarity with cross-border M&A and international financing.
