Responsibilities
  • Assist in drafting and negotiating a wide range of corporate documents and contracts.
  • Conduct thorough legal research and analysis on various corporate law matters.
  • Collaborate with senior attorneys to develop strategic solutions for clients' legal issues.
  • Participate in due diligence processes during mergers and acquisitions.
  • Provide legal advice on compliance with corporate governance standards and regulations.
  • Support clients in corporate restructuring, financing, and investment strategies.
  • Review and analyze risk assessments for corporate activities and transactions.
  • Prepare detailed legal memoranda and reports for client briefings and presentations.
  • Liaise with cross-functional teams, including finance and tax professionals, on complex cases.
  • Keep abreast of legal developments and changes in corporate law and communicate implications to clients.
  • Represent clients in negotiations and, if required, in litigation related to corporate disputes.
  • Develop and maintain strong professional relationships with clients to facilitate repeat business.

Requirements
  • Juris Doctor (JD) degree from an accredited law school is mandatory.
  • Must be a member in good standing of any recognized state bar association.
  • Minimum of 2-3 years' experience in corporate law or related legal practice.
  • Proven experience with mergers and acquisitions, due diligence, and corporate finance.
  • Excellent communication and negotiation skills, both verbal and written.
  • Strong analytical and critical thinking abilities to solve complex legal issues.
  • Ability to manage multiple client cases simultaneously with attention to detail.
