Scope of Responsibilities :
Manages all activities related to the pre-qualification, bidding, and pre-award stages of contractual and commercial issues up to the award of contracts, including:
- Contracts with clients;
- Partnering agreements with potential partners;
- Exclusivity/tie-up arrangements with vendors/subcontractors, including contractual terms and conditions;
- Risk review processes, including identification, mitigation, and management of contractual risks;
- Ensuring compliance with commercial procedures, establishing best practices, and promoting continuous improvement to protect the company's commercial position;
- Ensuring adequate commercial resources within the team to meet pre-award/bidding needs;
- Clarifying roles, responsibilities, accountability, and authority levels within the commercial team.
Manage activities related to post-award contractual, legal, and commercial issues, including:
- Contracts with clients;
- Partnering agreements;
- Supporting the Contracts Manager in risk and opportunity review processes, including risk mitigation and management.
Primary Duties:
- Support and manage activities related to risk identification, mitigation, and management during pre-qualification, bidding, and pre-award stages;
- Participate in the Risk Review Committee;
- Handle contractual, legal, tax, commercial, and insurance issues during pre-qualification, bidding, and pre-award stages;
- Assist in streamlining company operations from a contractual and commercial perspective;
- Ensure due diligence on potential partners and clients is conducted;
- Seek guidance on legal diligence in new jurisdictions;
- Secure legal advice affecting the company's business during the pre-qualification and bidding stages;
- Ensure key contract terms are communicated to project teams upon contract award and facilitate proper handover of documentation;
- Resolve deviations from vendor terms for goods and services;
- Coordinate with legal teams and external law firms during pre-qualification, bidding, and pre-award stages;
- Ensure compliance with HSE and Quality System Procedures;
- Participate in audits;
- Develop and monitor commercial KPIs;
- Provide training and guidance to ensure compliance with procedures;
- Manage post-award contractual activities, including risk management;
- Supervise and direct the commercial team;
- Support in variations and claims management, including negotiations and dispute resolution;
- Evaluate and advise on contractual conflicts and claims;
- Review company position based on project reports and take necessary actions;
- Ensure understanding of key contract terms across teams;
- Engage with dispute management teams as needed;
- Ensure adherence to HSE and Quality procedures during post-award activities;
- Participate in audits and monitor commercial KPIs.
