Job description

Role Overview:

The candidate will be responsible for managing, drafting, negotiating, and ensuring compliance with legal contracts related to licensing agreements. The role involves working closely with internal teams, including legal, finance, and business development, to manage payments and ensure all licensing terms are met. This position requires a solid background in contract law, intellectual property rights, and payment reconciliation.

Key Responsibilities:

  • Legal Contract Management: Draft, review, and negotiate licensing agreements, ensuring compliance with applicable laws and company policies. Advise the business on the interpretation and enforcement of licensing contracts. Monitor the execution of contracts to ensure that all terms and conditions are adhered to by all parties involved. Revise and update contracts as needed, addressing any amendments, extensions, or renewals. Prepare regular reports on the status of licensing agreements, compliance, and payments for senior management. Keep close track of upcoming contract renewals and advise stakeholders accordingly.
  • Payment Oversight: Ensure that payments related to licensing agreements are processed in a timely and accurate manner. Reconcile payments against contract terms, ensuring compliance with the financial and legal aspects of the agreement. Collaborate with the finance department/IP Accountant to track licensing payments and resolve discrepancies as needed.
  • Legal Compliance & Risk Management: Monitor and enforce compliance with all applicable laws, regulations, and industry standards in relation to licensing contracts. Identify, assess, and mitigate risks associated with licensing agreements, including potential legal liabilities and financial impacts. Provide ongoing legal counsel to mitigate risks in contract terms and payment structures.
  • Dispute Resolution: Address disputes arising from licensing agreements and payments, collaborating with internal teams and external parties to find resolutions. Engage in negotiations and settlements to ensure favorable outcomes for the company. Represent the company in legal proceedings related to licensing agreements or payment issues, when necessary.
  • Documentation & Reporting: Maintain comprehensive records of all legal contracts, amendments, and associated payments.
  • Collaboration: Work closely with cross-functional teams, including finance, business development, and legal departments, to ensure the smooth execution of licensing contracts and payments. Liaise with external counsel when required for complex legal issues.

Skills and Qualifications:

  • Hold a Bachelor's or Master's degree in Law, LLB or LLM.
  • Possess a valid license to practice law.
  • Proven experience (5+ years) as a corporate lawyer specializing in licensing, contracts, or intellectual property law.
  • Experience in drafting, negotiating, and enforcing complex legal agreements, including licensing contracts.
  • Familiarity with payment structures and financial aspects of licensing agreements.
  • Experience handling legal disputes, contract amendments, and risk management in a business setting.
  • Strong legal research, negotiation, and drafting skills.
  • Excellent written and verbal communication abilities.
  • Ability to analyze and interpret legal documents, contracts, and payment terms.
  • Detail-oriented with strong organizational and project management skills.
  • Proficiency in Microsoft Office Suite.
  • Additional certifications in intellectual property law, licensing, or contract management (e.g., CLM or IP Law certification) are a plus.
