About the Role
Guildhall is looking for a fast-scaling regulated digital asset company preparing for a US public listing. As Chief Financial Officer you will own financial strategy, controls and reporting across a multi-entity multi-jurisdiction structure and lead the company’s path to a Nasdaq listing. The mandate is immediate to build the public-company financial infrastructure SEC reporting US GAAP SOX ICFR that the listing timeline demands. It’s a rare seat, a founding public-company CFO mandate based in one of the world’s fastest-growing digital asset hubs. The role includes leading the path to a Nasdaq listing including IPO de-SPAC readiness, building SEC reporting US GAAP statements and SOX ICFR controls from scratch, owning the equity story and investor relations for analysts and shareholders, setting accounting policy for the company’s digital asset products, overseeing reserve accounting, attestation and audit processes for the company’s financial products, leading treasury, tax, risk and financial-crime controls across jurisdictions, building and leading a global finance team across accounting, FP&A and treasury.
What you’ll bring
- US CPA in good standing with a strong Big Four audit accounting background.
- Proven experience as a CFO or Senior Finance Director within a US-listed company or an organization preparing for a US listing.
- Hands-on experience with IPOs, de-SPAC transactions, S-1/F-1 filings, and SEC reporting, including public-company readiness and compliance.
- Deep expertise in US GAAP, SEC reporting requirements, SOX, and ICFR, with a strong understanding of public-company financial governance.
- Demonstrated track record of building, scaling, and leading high-performing finance teams through periods of rapid growth and organizational complexity.
- Strong executive presence and communication skills, with the credibility to engage effectively with Boards, investors, auditors, regulators, and other senior stakeholders.
- Experience across digital assets, fintech, cryptocurrency, payments, commodities, or other regulated financial services is highly advantageous.
- Strong understanding of multi-entity, multi-jurisdictional financial operations, with UAE/GCC experience considered an advantage.
- Experience with capital raising, M&A, treasury, financial planning, and strategic capital allocation is preferred.
- Willingness to be based in or relocate to Dubai, UAE, with flexibility for international travel.
