Job Description

Position Overview : We are seeking a motivated and detail-oriented capital markets lawyer for a 6-month project engagement to support our dynamic team on a flagship capital market transaction for the Middle East region. The ideal candidate will have foundational experience in private practice, assisting with a wide range of securities offerings and other capital markets transactions. This role is a fantastic chance to experience the dynamic Middle East region while managing a flexible commitment through a defined project term.

Key Responsibilities

  • Corporate Governance readiness : Assist in preparing and reviewing key internal corporate documents, including updating corporate records, amending articles of association / bylaws, and helping to develop or refine internal governance policies.
  • Due Diligence Support : Play a key role in the internal due diligence process by gathering, organizing, and managing company information; assist in responding to due diligence enquiries from external counsel, underwriters, and other advisors.
  • Transaction Documents Assistance : Support in drafting and reviewing sections of relevant offering and transaction documents, particularly those relating to company-specific information.
  • Shareholders engagement : Assist in preparing materials for communications with existing shareholders and obtaining necessary consents or approvals; maintain records related to significant shareholder interactions.
  • Internal Coordination : Help coordinate with various internal departments (e.g., Finance, Operations, HR, Communications) to gather necessary information, ensure factual accuracy, and maintain consistency across disclosures.
  • Project Management : Helping to track key milestones, deadlines, and deliverables related to legal and regulatory workstreams.
  • Board & Committee Support : Assist in preparing materials, presentations, and minutes for board and relevant committee meetings.
  • Regulatory Compliance Assistance : Support in ensuring all conditions and regulatory requirements of the relevant stock exchange and authorities are met.
  • Marketing Material Review : Assist in the legal review of investor presentations, roadshow materials, and other communications for consistency and compliance with applicable regulations.

Skills, Knowledge & Expertise

  • Qualified lawyer in a common law or civil law jurisdiction. Candidates who are qualified in both common law and civil law jurisdictions are particularly encouraged to apply.
  • 1-3 years of post-qualification experience, with a significant portion gained in capital markets within a reputable private practice law firm. We may consider strong candidates who have not qualified yet, provided they have significant paralegal experience in capital markets.
  • Demonstrable experience supporting various stages of IPOs from a private practice perspective, including assisting with due diligence, document preparation, and exposure to regulatory filings and closing processes.
  • Good understanding of securities laws, regulations, and market practices in at least one major jurisdiction. Exposure to capital markets transactions in the UAE and / or KSA is desirable but not required.
  • Fluency in spoken and written Arabic (including legal Arabic) is highly advantageous but not required.
  • Strong analytical, drafting, and research skills with excellent attention to detail.
  • Excellent communication and interpersonal skills, with the ability to work effectively within a corporate team and liaise with external advisors.
  • Ability to learn quickly, manage tasks efficiently, and work towards deadlines in a fast-paced environment.
  • A proactive and solutions-oriented approach with strong organizational skills.
  • Willingness and ability to travel to Dubai and Riyadh as required, even if primarily based remotely.

Engagement Duration :

6 months (with potential to be extended), immediate start. This is expected to be a full-time engagement, although some flexibility is possible to accommodate other commitments.
