Job description

Responsibilities

  • Maintain up-to-date knowledge of relevant regulations and laws in order to effectively manage compliance risks and ensure company compliance.
  • Assist with the preparation and update of company policies, procedures, and training materials.
  • Provide training to GSE employees on compliance policies and procedures.
  • Perform compliance testing and monitoring reviews and follow-up on action points and recommendations.
  • Respond to internal queries regarding company policies and procedures.
  • Prepare responses to incoming due diligence requests.
  • Assist with preparation of compliance reports and regulatory filings.
  • Liaise with internal auditor, providing requested documentation and ensuring regulatory compliance.
  • Maintain company files and records in compliance with applicable regulations.

Entity Establishment & Licensing Support

  • Assist with the completion of all requirements for the establishment and registration of new entities in various jurisdictions, which may include but is not limited to:
    • Liaising with the licensing authority to understand all requirements;
    • Obtaining documents from related entities and proposed shareholders;
    • Preparing application documents for new licenses; and
    • Working with in-house and external legal counsel as required to prepare and review company formation documents.

Ongoing Regulatory Maintenance

  • Maintain and comply with all licensing requirements for existing company entities in accordance with the terms of each entity’s memorandum of association/articles of association and relevant company laws (and equivalents) of the licensing authority and/or the jurisdiction in which each entity is established, including:
    • Timely renewal of all licenses;
    • Processing ad hoc changes to company records in accordance with regulatory requirements, including updates to share registers, directors, etc.;
    • Convening and servicing annual and extraordinary general meetings and board meetings, including scheduling, producing agendas, taking minutes, and handling relevant meeting correspondence;
    • Drafting board and shareholder resolutions and other related documents; and
    • Assisting with the completion and submission of all required filings to relevant licensing authorities or government ministries.

Requirements

  • Exceptional English, both written and verbal.
  • Arabic speaking is advantageous.
  • Minimum of 2 years' previous experience in a compliance role.
  • Prior experience in the UAE or other GCC jurisdiction.
  • Experience with DIFC/DFSA, ADGM/FSRA, and QFC/QFCRA is advantageous.
  • Knowledge of operating within both regional free zones and onshore jurisdictions is highly desirable.
  • Strong educational background with a degree or equivalent.
