Job summary

Placements24 is seeking a Senior M&A Lawyer to lead complex transactions remotely from anywhere in South Africa. You will manage all stages from initiation to closing, including due diligence, negotiations, and structuring decisions, while advising senior management on legal strategy and risks.

The role requires a strong track record in high-stakes deals, deep corporate and securities law knowledge, and the ability to work autonomously in a remote setting.

Qualifications

• LLB degree from a recognized university and admission as an Attorney or Advocate of the High Court of South Africa.
• Minimum 8 years of extensive M&A transactional experience at a leading law firm or in-house team.
• Proven track record in managing and closing significant M&A deals.

Responsibilities

• Lead and manage all legal aspects of M&A transactions including acquisitions, divestitures, JVs and strategic investments.
• Conduct comprehensive legal due diligence on target companies.
• Draft, negotiate and finalize M&A agreements (Share Purchase, Asset Purchase, Schemes of Arrangement).
• Advise senior management on legal risks, structuring options and regulatory considerations.
• Manage external counsel and ensure compliance with corporate and securities laws in SA and international jurisdictions.
• Oversee post-closing integration from a legal perspective and develop standard playbooks.
