Qualifications

Job description

To provide sound legal support for post-investment monitoring of investments, especially where emerging defaults on loan servicing occur. Active involvement in deal restructuring, understanding and analyzing the commercial aspects of transactions, and providing expert legal solutions.

To offer prompt and sound legal advice and support, particularly to the Post Investment Department & Turnaround, Workouts, and Restructuring departments.

Recoveries

• Provide legal input for submissions on existing investments prepared for the Portfolio Management Committee and other relevant committees.
• Implement Committee decisions to recover monies and ensure the company's rights are protected.
• Negotiate settlements.
• Brief external attorneys.
• Implement and monitor debt recovery, litigation, liquidation, and other legal and Court processes, whether outsourced or handled internally.

Turnarounds, Workouts, Restructures

• Handle business rescue, restructuring, including drafting and reviewing all related legal agreements.
• Understand financial instruments, draft agreements, litigate, and manage sequestration.
• Handle criminal charges related to the business.
• Manage legal aspects of restructuring companies and amend funding structures and terms, including negotiations with investee companies or third parties.
• Manage budgets and relationships with external lawyers efficiently.
• Address all legal matters concerning investee companies.
• Provide general legal advice across departments.

Experience / Skills Required

• Minimum 8 years’ post-articles experience in environments such as Private Equity, Corporate Finance, Management Consulting, etc.
• Extensive litigation, business rescue, and Court experience.
• Experience in securities law, insolvency law, or general commercial law.
• Proven knowledge of Company law, Tax law, and NCR regulations.
• Strong report writing skills and MS Office proficiency.
• Experience in Turnarounds, Workouts, and Restructuring is advantageous.
• Professional, courteous, accurate in legal documentation, and capable of advising on legal issues.
• Ability to convey legal opinions effectively and argue legally.
