Introduction: The National Empowerment Fund is looking for a Senior Legal Advisor - Commercial to join our Legal Services team.

Responsibilities:

1. Provide general legal support to NEF as part of the deal structuring team.
2. Fulfil all statutory, reporting and legal advisory services in accordance with business requirements.
3. Provide legal solutions that minimize risk for complex transactions like acquisitions and green-fields projects.
4. Analyse the commercial aspects of transactions.
5. Draft, vet, and negotiate a range of commercial agreements (e.g., term sheets, loan agreements, sale of shares, sale of business, security documents).
6. Ensure agreements are legally accurate and compliant with the latest legal developments.
7. Provide prompt and sound legal advice and support to NEF, particularly the Fund Management Division.
8. Consult regularly with the team on proposed structures, developments, and legal implications.
9. Attend due diligence assessments relating to NEF's investments.
10. Conduct due diligence on transactions to support investment teams.
11. Provide legal input to submission papers prepared for Investment Committee(s).
12. Participate in Committees as requested.
13. Conduct presentations as part of the deal team.
14. Build understanding of legal issues, risks, and obligations through advice and training for clients.
15. Manage costs/budget for work carried out externally and legal costs of litigation.
16. Identify legal risks and recommend mitigation methods for risks relating to NEF's investments.
17. Monitor progress on work done by legal advisors.
18. Check and supervise other legal advisors' agreements.
19. Provide skills transfer and mentoring to other legal advisors.
20. Ensure legal seminars and/or workshops are held.
21. Conduct ad-hoc activities as allocated by General Counsel and/or Legal Services Manager.

Qualifications:

1. Post graduate financial qualification (an added advantage).
2. Admitted Attorney.

Experience / Skills Required:

1. Minimum 5 years' post articles experience in a similar environment (e.g., Private equity, Corporate finance, Management Consulting).
2. Experience in securities law, insolvency law, commercial law, Company law, Tax law, and NCR.
3. Experience in legal due diligence.
4. Working knowledge of finance.
5. Experience in mergers and acquisitions is advantageous.
6. In-depth knowledge of laws and legal processes in respect of NEF core business (primarily relating to Corporate Finance, Structured Finance, and Investment Banking).
7. Excellent oral and written communication skills.
8. Proven experience in negotiations.
9. Ability to engage at all levels.
10. Strong decision-making and problem-solving skills.
11. Professional and courteous to all clients (internal and external).
12. Accuracy in preparing legal documentation.
