About the Role

Our client, a top-tier commercial bank headquartered in Bloemfontein , is seeking a highly accomplished Senior Banking and Finance Lawyer to enhance its in-house legal team. This demanding role requires extensive expertise in structuring, documenting, and advising on a broad range of complex financial transactions. You will play a crucial role in supporting the bank's lending activities, capital markets operations, and regulatory compliance efforts. The ideal candidate will have a proven track record in syndicated loans, project finance, acquisition finance, and financial regulatory matters. You will work closely with business units, risk management, and compliance teams to ensure legal and regulatory adherence while facilitating business objectives. Key Responsibilities

• Structure, negotiate, and document complex financing transactions, including syndicated loans, corporate loans, and acquisition finance.
• Advise on capital markets transactions, including debt issuances and securitizations.
• Ensure compliance with all relevant banking regulations, such as the Banks Act and financial services laws.
• Review and advise on financial regulatory matters, including licensing, prudential requirements, and conduct regulation.
• Draft, review, and negotiate loan agreements, security documents, intercreditor agreements, and other finance-related contracts.
• Manage legal aspects of distressed debt situations and restructurings.
• Liaise with external counsel, regulators, and other stakeholders.
• Provide legal support for new product development and business initiatives.
• Conduct legal due diligence for financing transactions.
• Develop and maintain internal legal policies and procedures related to banking and finance.

Requirements

• An LLB degree or equivalent, admitted as an Attorney.
• A minimum of 7 years of post-qualification experience in banking and finance law, gained at a reputable law firm or in-house at a financial institution.
• Demonstrated expertise in syndicated lending, project finance, acquisition finance, and debt capital markets.
• Thorough understanding of South African banking regulations and corporate law.
• Excellent drafting, negotiation, and analytical skills.
• Ability to manage a significant workload and meet demanding deadlines.
• Strong communication and interpersonal skills, with the ability to build relationships with stakeholders at all levels.
• Proactive approach to identifying and mitigating legal and regulatory risks.
• Experience with cross-border transactions is advantageous.
• High degree of professionalism and attention to detail.
