Qualifications

• Admitted Attorney of the High Court of SA with 6+ years in corporate law.
• Expertise in governance, company secretarial duties, and compliance.
• Proven experience drafting and negotiating commercial agreements.
• Strong understanding of SA corporate and commercial law.
• Ability to work autonomously in a remote setup.
• In-house experience is highly desirable.

Responsibilities

• Maintain corporate records and statutory filings under Companies Act.

The role will involve overseeing corporate governance, compliance, drafting and negotiating agreements, and advising on various legal matters pertinent to the group's operations. Key Responsibilities

• Manage and maintain corporate records, including minute books, resolutions, and statutory filings, ensuring compliance with the Companies Act.
• Draft, review, and negotiate various commercial contracts, service agreements, and partnership documentation.
• Provide legal advice on corporate law, governance, and compliance matters to internal stakeholders.
• Oversee and manage legal aspects of mergers, acquisitions, and other corporate restructuring activities.
• Ensure compliance with all relevant South African laws and regulations, including POPIA.
• Conduct legal research on complex corporate law issues and provide clear, concise recommendations.
• Assist in the development and implementation of corporate policies and procedures.
• Manage relationships with external legal counsel and other service providers.
• Support the legal department on ad-hoc legal projects as required.

Requirements

• Admitted Attorney of the High Court of South Africa with a minimum of 6 years of post-admission experience in corporate law.
• Proven expertise in corporate governance, company secretarial duties, and statutory compliance.
• Strong experience in drafting and negotiating commercial agreements.
• Excellent understanding of South African corporate and commercial law.
