General Description / Job Purpose: Appointment as a Project Manager for the current and future Wind Projects and or Solar Projects, under the portfolio of the PCM Team in general and then specifically Overberg Wind Project, located in Swallendam in the Western Cape Province, South Africa, during the transaction face (pre-financial close) as well as the execution phase (detail design, construction, commissioning, and Taking Over) according to applicable Company procedures. As the company needs, to support also the Solar Projects, where its priorities trump the Wind Priorities at any given time during the Pre-FC Phases. Acting as Owner's Representative under the EPC (Engineering Procurement and Construction) contracts as well as Seller's Representative under the PPA, and other agreements as required by the Company and specifically for the Project, the Associated Company.

Responsibilities:

  1. General: Use reasonable endeavours to remain abreast with market and technological developments and to identify new technologies that may contribute towards the development of the Business and improvements in the Company and Associated Companies.
  2. Foster and lead a corporate culture that promotes sustainable ethical practices encourages individual integrity and fulfils social responsibility objectives and imperatives.
  3. Recommending policy and procedure improvements.
  4. Ensuring overall compliance to all the internal Policies and Procedures of the Company, including compliance with Corporate ESMS (Environmental, Social, Management System), IFC Standards and Equator Principles.
  5. Carry out duties in a proper, loyal, and efficient manner to the best of their ability and at all times act in good faith and use their best endeavours to properly conduct, improve, extend, develop, promote, protect and preserve the business interests, reputation and goodwill of the Company and Associated Companies.
  6. Immediately disclose to the Company any information which comes to their knowledge, and which does, or may, lead to them not being lawfully able to perform their duties or responsibilities.

Transactions Phase: During the Transactions Phase, the Project Manager is responsible and accountable for managing projects in an integrated manner to achieve Financial Close by defining project objectives: scope, schedule, cost, quality, resources, procurement, risks, communication, and stakeholder engagement plans.

  1. Responsible as part of Procurement for the compiling along with other team members of RFPs (Requests for Proposals) and reviewing the received results from a risk and commercial perspective.
  2. Responsible for selection of EPC Contractors after extensive evaluation and interaction with the Company leadership team.
  3. Manage the drafting and all inputs and review changes required as well as negotiations of the EPC Contracts to the best outcome possible for the Company or the Associated Company.
  4. Assist the O&M Contracts drafting process in a similar way than the EPC Contracts with a more supportive role than a leadership role.
  5. Responsible for compiling and maintaining the PDPs (Project Development Plans) with relevant reporting and raising of critical tasks to the Transactions team and other team members in a collaborative manner.
  6. Responsible for tracking and supporting all teams with the Technical Due Diligence as well as interactions with other DDs (Due Diligences) such as the Legal and Insurance DDs etc. as required to reach Financial Closure.
  7. Manage the EPC, suppliers and consultants during any early works to ensure completion of the early works within time, budget and quality as per the early works agreements, as well as the Company- and Associated Company's contracts with third party contractors for ancillary scopes of work.
  8. Other tasks as may be assigned by Line Manager and/or Portfolio Manager.

Execution Phase: During the Execution Phase, the Project Manager is responsible and accountable for managing the following aspects of a project in an integrated manner to achieve project objectives: scope, schedule, cost, quality, resources, procurement, risks, communication, and stakeholder engagement.

  1. Responsible for advocating the best interests of the Company and the Associated Company by overseeing the assigned project during the execution phase.
  2. Manage the EPC, suppliers and consultants during the construction phase to ensure completion of the project within time, budget and quality as per the EPC contracts, as well as the Company- and Associated Company's contracts with third party contractors for ancillary scopes of work.
  3. Manage the O&M Contracts.
  4. Manage the following agreements: PPA (Power Purchase Agreement) signed with Eskom, Eskom Budget Quote, DuCOSA, Self-Build Agreement and other relevant agreements as required by the Company and the related Site Supervisors and team and their responsibility relating to these agreements.
  5. Support the Asset Management team, when required, on other signed agreements (i.e., CTA Agreement with the banks, Implementation Agreement, etc…) and particularly to ensure the project and the Company and Associated Company's obligations in terms of the loan agreement (CTA) are monitored and managed to ensure it remains fulfilled on an ongoing basis.
  6. Be aligned with and remain fully informed on the process and procedures of Company and Associated Companies, including the corporate procedures relevant to Construction Projects like for example the ESMS (Environmental and Social Management System).
  7. Manage the requirements of the MSA (Management Services Agreement) to ensure the Company and its stakeholders remains compliant with the signed contract with the Associated Company.
  8. Manage and monitor compliance of the Economic Development obligations and commitments under the Implementation Agreement.
  9. Manage the project team (Project Engineer, Site Supervisors, Health and Safety Officer, Site Environmental Control Officer, Quality Control staff, Community Relations Manager, Commissioning Manager, etc…) before, during, and after the construction phase.
  10. Direct internal operations to achieve project budgeted results and related financial criteria, and to preserve the capital funds invested in the project.
  11. Ensure that all the relevant insurances, permits and contracts remain in full force during the construction of the facility.
  12. Ensure that the project is going to be designed and built-in in accordance with law and all relevant permits (EIA, EMPr, water authorisation, building permits, etc… and consents.
  13. Managing relationships with landowners and the local community.
  14. Be fully informed with the land lease agreement signed by the Associated Company and monitor and manage the compliance of the contractors therewith.
  15. Perform, or cause to be performed by the appropriate staff or consultants, on-site inspections for quality of workmanship, quality of materials, conformity with plans & specifications, code compliance, on-site safety, project schedule vs progress, and general progress of the construction project.
  16. Maintain observation reports/logs including work description, work methods, contractors on site, weather conditions, observations, photos, etc.
  17. Attend, or conduct, periodic construction progress meetings with all contractors and consultants. These meetings should include discussions with respect to potential or pending change orders, problems, schedule, budget, requests for information, and any other areas of interest.
  18. Managing interfacing and planning between the different contractors.
  19. Review progress billings from the contractors and consultants and when required, negotiate revisions.
  20. Ensure that all lien/claim releases are executed.
  21. Monitor the schedule throughout the process, report deviations and variances, and assist in developing alternate methods for corrective action.
  22. Assess impacts to the critical path and near-critical activities and report to the project team and shareholders and stakeholders.
  23. Issue Internal Reports to the Company as well as a Monthly Report to the relevant stakeholders by highlighting progress, risks and opportunities and any other main information pertinent to the project.
  24. Review and assess if each of the contract milestones have been achieved and prepare and issue the relevant certificate duly signed.
  25. Record all certificates, change order requests, variation order claims, amendments, etc. from the contracts and ensure compliance with the Company document control procedures.
  26. Ensure all the TSA and BOP contract and other relevant sub-contracts requirements are fulfilled before the final completion or taking over certificates are released.
  27. Manage the punch list during the latter part of the construction phase until the completion thereof.
  28. Hand over the project documents to the relevant parties when required.
  29. Participate in senior management and board level and EXCO level meetings, if required.
  30. Responsible for the onsite team management insofar as work tasks, performance review, vehicles and accommodation and Car and Food Management on site (and all related costs) in accordance with the Company and Associated Company Policy and Procedures.

Minimum Educational Qualifications: A related tertiary qualification SACPCMP preferable.

Minimum Previous Experience: Previous experience in Renewable Energy a must.
