Job description

Job Title: Junior Lawyer (Temporary)

Our client, a leading Manufacturing / Production company based in Umhlanga, is seeking to fill a temporary position for a Junior Lawyer reporting to the Legal Director.

Purpose of the Role

The successful candidate will provide legal advice to a group of companies on all legal matters, performing a full spectrum of advisory tasks to ensure compliance with relevant legislation, regulations, and policies.

Key Responsibilities
  1. Company Secretarial:
    • Assist in preparing agendas, attending, and recording minutes of board and committee meetings for various group companies.
    • Manage all board-related matters and stakeholder relationships.
    • Oversee all company records and securities of the group companies.
    • Prepare, record, and circulate shareholder and board resolutions.
    • Administer the company secretarial functions.
  2. Mining:
    • Provide legal advice related to mining legislation, charters, and the Mine Health and Safety Act.
    • Liaise with the Department of Mineral and Petroleum Resources and environmental authorities.
  3. Legal Contracts:
    • Review, draft, and negotiate agreements for group companies.
    • Identify legal issues and advise on solutions.
    • Demonstrate experience with commercial, banking, engineering, and industrial contracts.
  4. Litigation and Legal Costs:
    • Manage litigation processes and liaise with external counsel.
    • Maintain cost-effective legal advice sourcing.
  5. Legal Documentation and Compliance:
    • Establish and maintain legal documentation management systems.
    • Assist with intellectual property management.
    • Manage legal accounts and ensure procedures are followed.
    • Conduct training for departments on legal procedures.
  6. Legal Advisory:
    • Advise on legislation including corporate law, competition law, environmental law, mining, tax, and labor law.
    • Support management in legal risk mitigation.
    • Develop legal frameworks aligned with company policies.
    • Conduct research on legal trends affecting the business.
  7. Budget Management:
    • Prepare and oversee the legal department's budget in accordance with company policies.
Qualifications and Experience
  • Grade 12 Senior Certificate.
  • SAQA-accredited LLB Degree; LLM preferred.
  • Membership of the Chartered Institute of Secretaries advantageous.
  • Minimum five years' post-articles experience in a similar role.
  • Experience with large law firms and in mining, competition, labor, environmental, and commercial law is advantageous.
