Head of Legal Compliance and Governance

Our client is seeking the expertise of a Head of Legal, Compliance and Governance in Gauteng. The successful candidate will review and draft agreements and contracts, negotiate terms, ensure legal compliance, and regularly update standard documents/forms to meet regulations.

Responsibilities:

1. Ethical, proactive and initiative taking when completing tasks.
2. Ability to engage with potentially hostile audiences and embed compliance.
3. Develop and implement the Corporate Compliance Programme.
4. Develop and implement the Corporate Risk Register.
5. Reports to the CEO and Board of Directors regularly to review progress on programme implementation and establish improvement plans.
6. Ensures and monitors compliance with local and international laws / standards about market abuse, conflicts of interest, market conduct, and employee compliance.
7. Perform secretarial duties for various committees, board and shareholder meetings (e.g., compile and circulate notices, agendas and meeting papers for various committees, draft and file minutes etc).
8. Ensure compliance with BBBEE requirements by the Company.
9. Advise the Board and senior management on compliance laws, rules, and standards, ensuring they stay informed about new policies, and prepare monthly Compliance status reports for relevant stakeholders.
10. Coordinate Board / committee / Shareholder meetings, including agenda preparation, in collaboration with the Chairman / CEO / Committee Chairpersons.

Requirements:

1. Bachelor of Law Degree (LLB) and admitted Attorney in the High Court of South Africa.
2. 8 - 10 years of experience across strategic and senior management functions.
3. 5 years' plus experience in Compliance Risk Management and Company Secretarial Practice within a corporate legal department in the mining industry or a reputable law firm.
4. Proven ability to execute effectively against strategy and exceed goals consistently.
5. Member of the South African law society / professional institute.
6. Certifications in corporate governance or company secretarial practices (e.g., ICSA) are an added advantage.
7. Regulatory knowledge of the mining industry.
8. Legislative knowledge of the laws governing mining.
9. Environmental, Social and Corporate Governance (ESG), social impact and sustainability framework.
