YOUR ROLE

We are seeking a Legal Counsel Manager for our legal department to be based at CEVA Logistics South Africa.

As a Legal Counsel Professional, you will be responsible for providing expert legal advice and support to the business unit, ensuring compliance with laws and regulations, and handling legal matters efficiently and effectively for the Southern Africa region (8 countries).

KEY RESPONSIBILITIES:

  • Lead, mentor, and manage the legal team, fostering a collaborative and high-performance work environment. Develop and implement strategic goals and initiatives for the legal team.
  • Analyze contractual projects as well as tenders, assess the risks and negotiate the legal terms where appropriate in consultation with operational and commercial staff, along with Legal Head of IMEA.
  • Draft and solidify agreements, contracts and other legal documents to ensure the company’s full legal rights and ensure that the CMA CGM Group Logistics Division Business Rules (CBR) are implemented to the contracts and business transactions.
  • Prepare corporate meetings in the relevant entities, agenda and board or shareholder’s resolutions. Carry out procedures related to the Companies`s meeting of shareholders, changes to the company statutes, establishment of subsidiaries and signatures.
  • Ensure prevention (drafting of legal notices, prevention of litigation, risk assessment, etc.) and participate in application of contractual risk management solutions.
  • Provide training to the operational staff regarding contract risk awareness and minimization, CBR and internal rules and processes.
  • Manage claims and dispute resolutions, litigations and represent companies in legal proceedings (administrative boards, court trials etc.) in collaboration with claims teams, internal clients, insurers and external legal counsels.
  • Provide strategic advice on commercial law, employment law, obligation law, public procurement law and finance law with a high degree of independence.
  • Provide legal advice to the Companies Business Development, Finance, Procurement, HR and other departments in order to enable them to meet their commercial objectives and also mitigate the legal risk of the Companies
  • Participate and actively assist in all M&A projects and corporate re-structuring with the Sub-Region
  • Disseminate internal governance policies and regularly monitor compliance. Ensure the legal workflows and policies are up to date and implemented across the business units
  • Report deviations from CER to the Management and/or ICAP Committee.
  • Ensure legal watch (evolution of texts and case law in the relevant countries) and manage contractual databases, participate in their improvement and design activity reports
  • Work in maintaining templates, ensuring corporate compliance and standard terms and conditions are consistent with overall corporate policies
  • Manage formal correspondences and notifications to or from public authorities and other third parties
  • Support IMEA Legal team in case of extraordinary rush, unusual workflow increase or specific file where your expertise is requested.
  • Provide legal advice on a wide range of issues related to the business operations

Requirements:

  • Relevant qualification, Bachelor's degree in Law
  • Qualified solicitor or barrister with a valid practicing licence
  • 5-10 years previous experience in a corporate legal environment
  • Strong knowledge of South African laws and regulations
  • Excellent communication and interpersonal skills
  • Ability to work independently and in a team
