Legal Advisor Compliance Bloemfontein Free State

Our client, a leader in industrial manufacturing with custom-engineered solutions and branches nationwide, is seeking a qualified and experienced Legal Advisor Compliance to join their team.

Responsibilities

The ideal candidate will be responsible for the following duties, along with any other duties related to the role that may be reasonably and lawfully assigned:

Legal Functions
  1. Ensure that the Group of Companies' operations, both in South Africa and internationally, comply with legal and regulatory requirements, mitigate risks, and promote ethical business practices. Exercise independent discretion and sound judgment in applying legislation.
  2. Vet, draft, and negotiate legal agreements and corporate law matters across multiple disciplines, providing expert advice and ensuring thorough implementation of the Group's terms and conditions.
  3. Prepare legal opinions, memoranda, briefing documents, and formalities regarding dispute resolution, counseling, and managing instructions to external attorneys and authorities.
  4. Draft, review, and update agreements, internal policies, and procedures to ensure compliance with regulations. Advise management on changes in financial regulations and their impact, proactively preventing legal and regulatory violations to avoid fines, reputational damage, or sanctions. Implement internal controls to prevent breaches.
  1. Conduct compliance risk assessments and recommend mitigation strategies.
  2. Develop and deliver training programs on compliance policies, regulatory changes, and ethical standards to foster a compliance culture. Collaborate with legal, risk, and other colleagues for seamless compliance operations.
  3. Research legal and regulatory compliance issues within your primary focus area, providing informed advice on legal resolutions.
  4. Maintain professional conduct by ensuring legal compliance in business and international trade, implementing risk management measures.
  5. Handle confidential information acquired through transactions, agreements, and legal documentation.
  1. Implement systems to record and manage critical legal aspects, ensuring adherence to deadlines.
  2. Participate in litigation meetings as scheduled by senior management.
  3. Conduct credit searches for risk assessments, vet deal terms, and assist with debt recovery and risk management.
  1. Report daily on matters affecting regulatory compliance and disputes.
  2. Draft regular reports on litigation, collection, risk, and compliance activities.
  3. Prepare planning reports on legal issues and schedules.
  4. Support the legal team and liaise with the Board and senior management to address legal issues proactively.
  5. Coordinate external recovery efforts for debts, damages, and legal costs, taking ownership of projects.
  6. Ensure adherence to company policies, procedures, and legal requirements in South Africa and internationally.
  7. Maintain records of Credit Committee meetings and related documentation.
Qualifications
  • LLB degree.
  • Minimum of 3 years post-article experience.
  • Proficient in Excel and Word.
  • High level of determination.
  • Strong understanding of compliance activities and commercial law.
  • Experience in developing compliance monitoring programs.
  • Effective communication skills for internal and external stakeholders.
