POSITION INFO :

Must have proper commercial contract experience and be well-versed in the Companies Act and Contract drafting.

Job Title : Legal, Compliance and Risk

Salary - market-related

Standard hours : Monday – Friday 08h30 to 17h30

Extended hours may be required from time to time.

Be on call and standby after hours and weekends.

Travel may be required occasionally to Zimbabwe and locally.

Skill Level : Professionally Qualified

Qualifications : B.Com (majoring in economics or accounting), LLB, and admitted Attorney.

Valid Passport (at all times), own car, and latest payslip to be provided.

Purpose of the Position :

Act as in-house counsel for a group of companies, handling corporate, commercial, and Labour law, with a focus on mergers and acquisitions. Support M&A, investment, and corporate development activities, including due diligence, negotiations, and transaction agreements.

Responsibilities and Duties :
  • Assist with mergers and acquisitions, investments, and strategic transactions from due diligence to post-closing integration.
  • Draft and prepare M&A-related materials.
  • Support other corporate projects and capital raising efforts.
  • Work with internal teams and external advisors on legal matters.
  • Review, draft, negotiate, and implement various agreements.
  • Conduct due diligence and oversee commercial transactions.
  • Provide legal advice on business transactions and compliance.
  • Design and oversee company policies on legal matters.
  • Protect the company against legal risks.
  • Assist management with administrative and ad-hoc tasks.
Work Experience and Skills :

Minimum of five years PQE, with experience in both in-house and law firms, especially in M&A and investment transactions. Strong understanding of corporate, contract, and commercial law, with excellent negotiation skills and project management experience.

Ability to provide executive guidance, with knowledge of tax law, employment, and labor laws.
