Corporate Finance Manager

Completing detailed valuation and financial models as well as drafting various written documents such as transaction specific documents and other legal documents.

Main duties and responsibilities :

• Financial Statement Analyses (balance sheet, income and cash flow statements) using both technical and analytical skills on the financial and operational information of companies subject to disposal.
• Identification and communication of deal issues that may impact the valuation of the business or that may be used for negotiation during the transaction.
• Determining the negotiating strategy and assisting in deal negotiations, including advising on the commercial terms of transactions.
• Determining tax efficient structures for deals and opportunities for tax saving.
• Compilation of Information Memoranda for entities subject to disposal.
• Working in multidisciplinary teams and managing the potential acquirer’s transaction advisors (e.g. financial, tax and legal due diligence services providers, commercial attorneys and commercial banks).
• Buy-side due diligence services covering financial and commercial analyses of Targets in order to assess the key value drivers behind maintainable profits and cashflows. This includes discussions with the Management of the Target (e.g. CEO and CFO).
• Preparation of various reports (e.g. Financial Due Diligence Reports) for presentation to key client stakeholders.

Experience and qualifications :

• CA(SA)
• 5 years of experience in Corporate Finance
