Core purpose of the role
To ensure compliance with legal aspects of all contracts, all regulations and orders in relation to the various projects as well as all other company related agreements.
To provide assistance for all corporate statutory matters to the Group to ensure statutory compliance across Procurement functions.
Key deliverables and outputs
- Contract Management
The Contracts Manager will provide general contracting support for Zeda Ltd by conducting activities including but not limited to contract drafting, reviewing, negotiating, implementing and general legal issues identification as it relates to Sourcing. The Contract Manager will be responsible for providing practical and proactive guidance on contract related issues and is not limited to commercial terms, risk identification, scope of work, contract compliance, and legislative requirements. The Contract Manager will be responsible for contracts and agreements including Service Level Agreements, Master Service Agreements, Collaboration Agreements, Confidentiality Agreements, Non – Disclosure Agreements, Tender Documents and any other related procurement contracts, materials, templates and supporting documents, where applicable. The Contract Manager will ensure that all relevant contracts are valid. - Stakeholder Engagement
The Contract Manager will work closely with the internal business to draft, review and negotiate agreements. The Contract Manager is required to support the wider Sourcing team on issues relating to contract validity, terms, definitions and dispute resolution. The Contract Manager ensures that all relevant Zeda staff are informed and kept abreast of all factors that have an impact on their business operations. The Contract Manager will work closely with the Legal and Risk departments in managing the relevant contracts and agreements and ensuring these are relevant and up-to-date. This will also include resolving issues raised during contract negotiations and/or drafting. The Contract Manager will engage with suppliers and external business partners to ensure that they are aligned with Zeda Ltd. contractual requirements. - Reporting
Create, collate and submit monthly reports on supplier performance. Report on status of all contracts. Analyse and report on supplier trends monthly to provide market intelligence to the business. - Risk and Performance Monitoring
Regularly monitor and ensure the alignment between suppliers' operational performance, compliance with the strategic sourcing policy and Zeda group objectives and standards. Monitor supplier risk and take proactive steps (e.g., blacklisting) to advise internal stakeholders and to mitigate contractual risks. Implement supplier risk and performance management process and escalation to be followed across Zeda Ltd. in order to ensure supplier compliance. Monitor the environment ensure Zeda Ltd and its business partners are compliant with legislative developments and corporate governance principles. - Internal and External Stakeholders
The role requires close engagement and collaboration with key internal and external stakeholders. Internal Stakeholders: Senior Management, All Business Units and Functional Areas, Own Management team; Sourcing Department. External Stakeholders: Suppliers / Service Providers, Industry Organisations and Regulatory Bodies.
Academic Qualifications
- NQF Level 7 Qualification in Contract / Commercial Law.
- Valid Driver's License.
- Advantageous: NQF Level 8 Qualification in Commerce / Supply Chain Management / Transport.
Note: This role may be required to travel from time to time. This role may be required to work overtime / after hours from time to time.
Work Experience
- 5 Years Experience in Contract Management / Commercial Law.
- 3-5 Years Experience in Procurement / Sourcing.
- 3 Years Experience in engaging at Senior Management level.
- Advantageous: 1-3 Years' Experience in the Automotive Industry.
