Job description

To provide expert advocacy and assistance to client Boards, ensuring their Compliance and Governance, and ensuring that client companies and Boards are compliant with relevant laws and regulations. Support the promotion of business to achieve annual targets aligned with the organisation’s strategic objectives.

Main duties and responsibilities :

Functional Management :

  1. Ensure compliance for clients with the provisions of the Companies Act, rules made thereunder, other statutes, and bylaws of the company.
  2. Provide expert advocacy to clients on King IV best corporate governance practices.
  3. Monitor changes in relevant legislation and the regulatory environment, and take appropriate action for clients.
  4. Sort and file various documents and/or returns as required under the Companies Law.
  5. Coordinate and facilitate accurate and timely administration of client company records and registers, including lodgments with the CIPC, and maintain and update the company’s registers.
  6. Maintain books and registers of client companies as required under the Companies Act.
  7. Ensure compliance with legal requirements related to the allotment, issuance, and transfer of share certificates for clients.
  8. Maintain relevant statutory books as needed for clients.
  9. Consult and liaise with external regulators and advisers such as CIPC, auditors, and the Master of the High Court.
  10. Coordinate and handle all correspondence between client companies and their Boards, Shareholders, and other third parties.
  11. Prepare board resolutions, take minutes, lodge required forms and annual returns with CIPC for clients.
  12. Organise agendas and papers for client Board meetings, committees, and AGMs. Ensure distribution of work plans and meeting packs.
  13. Advise and attend client meetings to ensure legal requirements are fulfilled and provide necessary information.
  14. Follow up on matters arising from attended client meetings.
  15. Prepare tailored Board Evaluation Questionnaires for specific clients.
  16. Draft client Board Evaluation Reports for circulation.
  17. Analyse and prepare client Focus Area Reports based on Board Evaluation outcomes.
  18. Review and draft Committee Charters as required.
  19. Prepare proposals for new prospective clients.
  20. Follow up on engagement letters and prepare responses.
  21. Respond promptly to emails from clients and stakeholders.
  22. Prepare billing schedules and invoices as needed.
  23. Support and advocate for the Board Support Consultant to ensure knowledge transfer.
  24. Prepare and respond to Know Your Client (KYC) questionnaires.

Risk and Compliance Management :

  1. Adhere to all relevant laws, policies, and Standard Operating Procedures.
  2. Assist in identifying and adhering to fraud controls, risk prevention, governance, and compliance processes and tools.
  3. Support and provide evidence for internal and external audits.
  4. Maintain and enforce Service Level Agreements to minimise risks and ensure business continuity.

Stakeholder Management

  1. Identify and mitigate internal system and procedural barriers to enhance customer service.
  2. Build and maintain effective internal and external stakeholder relationships for expectations management, knowledge sharing, and reputation management.
  3. Represent and participate in organisational committees and task forces when required.
  4. Communicate progress and challenges in achieving work plans to stakeholders in a timely manner.
  5. Manage stakeholder communications effectively.
