The Company Secretarial Specialist will support junior and more experienced team members with the delivery of company secretarial services to TMF’s clients.All company secretarial and associated tasks must be completed in an efficient, professional and timely manner, providing a high quality of service to the client.In addition, required to maintain a good working relationship with the client, answer queries and provide them with any requested documentation.Key Responsibilities
Responsible for meeting company secretarial compliance requirements through accurate, complete and timely processing of annual complianceAbility to provide strong board and committee support with the minute taking is essentialSupports Company Secretarial Assistants and Trainees, whilst maintaining overall responsibility for task accuracy and completeness, keeping the Client Account Senior Manager or Line Manager updated as appropriateResponsible for meeting the indicated deadlines for each allocated client tasksPerforming tasks in compliance with company policies relating to company secretarial services, ensuring requirements are followed consistently and in fullPerforming tasks in compliance with company legislation, data protection and control risk within company secretarial functionPerform standard defined tasks to on board new clientsIdentify out-of-scope service and providing respective information to the Client Account Senior Manager or Line Manager as appropriateSound knowledge of UK Companies Act 2006 and working knowledge of UK corporate lawKnowledge of The Economic Crime and Corporate Transparency Act (“ECCT”) (UK) that received royal assent on 26 October 2023 that are being implemented in stages; knowledge of the Corporate Transparency and Companies House reforms.Experience working with Funds clients specifically knowledge working with a portfolio of both PE (Private Equity) & REIT (Real Estate Investment Trust) clientsKnowledge of the accounting and statutory reporting requirements of UK Entities i.e. Limited Companies, LLPs & LPsEnsures clients are billed in accordance with the engagement including any out-of-scope work.Escalates any concerns to Client Account Manager or Line Manager in a timely mannerUses TMF’s company secretarial software effectively i.e. Diligent Entities & ViewPoint (GEM)Maintains relevant databases, client records and other tracking tools as requiredProvides administrative support to the company secretarial team as requiredAttends client meetings as required including the preparation of the agendas, taking & drafting minutes and follow-up actionsTo undertake any other duties as reasonably expected for the roleKey Requirements
A detailed knowledge of UK company secretarial transactions and annual complianceResourceful, independent and strong problem-solving abilitiesAble to articulate and communicate with clients in a concise and professional mannerBoard Support Experience is essentialExcellent drafting skillsEffective time management i.e. ability to organise and prioritise tasks to meet deadlines.Good research skills and relevant technical knowledge are required to deliver an efficient service to the clients in a timely mannerWillingness to learn and work with software such as DAX 365, Diligent Entities, FernergoFluency in English is essentialClosing : 31-Jul-2025
