Job description

Minimum Requirements:
• A relevant degree or diploma in governance, law, business administration, or a related field.
• A minimum of one (1) year of company secretariat experience.
• Demonstrated experience in the public sector

Key Responsibilities:
• Assist in ensuring the organisation's adherence to relevant legislation, including the Companies Act, King IV, and public sector regulations.
• Support the preparation and filing of statutory documents with regulatory bodies such as the Companies and Intellectual Property Commission (CIPC).
• Maintain statutory registers and minute books, ensuring accuracy and compliance.
• Coordinate logistics for board and subcommittee meetings, including scheduling and distribution of meeting agendas and materials.
• Record and prepare minutes of meetings, ensuring timely circulation and follow-up on action items.
• Support the development and maintenance of board charters and terms of reference.
• Provide administrative assistance to the Company Secretary and senior governance staff.
• Manage the organisation's governance documentation and ensure secure storage and easy retrieval.
• Assist in the induction and orientation of new board members, providing necessary training on governance practices.
• Prepare and maintain accurate records of board decisions and resolutions.
• Assist in the preparation of annual reports and other governance-related documents.
• Ensure that all governance documentation is up to date and accessible to relevant stakeholders.
• Act as a liaison between the board, management, and external stakeholders on governance matters.
• Assist in communicating governance policies and procedures to the organisation.
• Support the organisation in responding to governance-related inquiries from stakeholders.
