Job description

My client, a group of companies in the agricultural industry based in Stellenbosch, has a position available for a Company Secretarial and Legal Administrator. The role involves administering and providing Company Secretarial services and legal administration support related to legal contracts and documentation.

Qualifications: Relevant legal qualification (LLB / BA Law and/or CGISA) coupled with 1-2 years of relevant experience.

Key Responsibilities:

  1. Provide administrative support to the Company Secretary and Legal Manager of the Group.
  2. Prepare documentation, standard contracts, and resolutions accurately, and arrange for signatures.
  3. Organise and attend board, shareholder, trusts, and committee meetings.
  4. Draft minutes following meetings.
  5. Ensure statutory and internal filing deadlines are met.
  6. Maintain statutory and internal company secretarial and legal filing records.
  7. Maintain corporate governance documents such as board charters and group organograms.
  8. Update and maintain meeting calendars and schedules.
  9. Build relationships internally and externally with auditors, legal counsel, and B-BBEE advisors.
  10. Support ad hoc administrative tasks and projects for the Company Secretary and Legal Manager.
  11. Follow processes and procedures according to quality standards and controls.
  12. Arrange company and trust registrations with external assistance.
  13. Prepare and organise meetings, including agendas, minutes, and meeting packs.
  14. Attend to B-BBEE certificate requests and assist with audits and queries.
  15. Meet personal and team targets as required.

Experience and Skills:

  • Legal qualification (LLB / BA Law / CGISA).
  • 1-2 years’ experience in a similar role.
  • Experience in communication with external parties and intermediaries.
  • Organisational and coordination skills.
  • Report writing skills.
  • Critical thinking and information interpretation abilities.
  • Proficiency in Microsoft Office, SharePoint, MS Teams, Excel, Outlook, and Word.
  • Fluent verbal and written communication in Afrikaans and English.
  • Ability to prepare minutes of meetings.
  • Basic understanding of Company Law; knowledge of B-BBEE advantageous.
  • Attention to detail and accuracy.

The ideal candidate will have at least 1-3 years of relevant experience in company secretarial and corporate governance within the finance or legal sector.
