IMEG Corp. is growing, and we'd love for you to join our team! We are currently seeking an Associate Counsel, M&A in our Rock Island, IL office.

The Associate Counsel M&A will oversee and execute complex M&A transactions, provide expert legal guidance, and ensure regulatory compliance. Reporting directly to the Chief Legal Officer, this role advises on strategic acquisitions, mergers, divestitures, and joint ventures. This position collaborates with the M&A team and supports IMEG's litigation and project claims as needed.

Principal Responsibilities
  • Provide legal guidance and strategic support on M&A transactions, including deal structuring, due diligence, and negotiations
  • Draft, review, and negotiate legal documents such as letters of intent, NDAs, purchase agreements, merger agreements, and corporate governance materials
  • Collaborate with internal teams, finance, and external counsel to ensure legal compliance and alignment with business goals
  • Conduct legal due diligence and risk assessments related to acquisitions
  • Advise senior leadership on legal risks and implications of strategic initiatives
  • Monitor legal trends and changes in M&A regulations and corporate law
Required Skills and Abilities

Education and Experience
  • Juris Doctorate Degree from an ABA-accredited law school
  • Admission to at least one state bar
  • Minimum 1 year of M&A experience in law firm or corporate legal department
  • Preferred: Experience in Architecture, Engineering, and Construction (AEC) industry
  • Experience in litigation or litigation management
Physical Requirements
  • Prolonged sitting at a desk and working on a computer
  • Ability to lift up to 15 pounds occasionally

Salary Range: $135,000 - $170,000, based on experience and location. Benefits include bonuses, stock options, health insurance, wellness programs, retirement plans, paid holidays, and PTO.
