Job description

Associate Commercial Lawyer (Fixed Term) The Mimecast Business Legal team is looking for an Associate Commercial Counsel, for a fixed period, to join our dynamic and fast-paced, global legal team.

This exciting role focuses on customer, vendor and partner deal negotiations but with a mixed workload providing in-house legal support globally.

As a key member of the legal team supporting all Mimecast regions, you'll need strong analytical skills, the ability to assess and mitigate contractual risk, excellent communication skills and the ability to work to a high standard within tight deadlines.

It's an energetic, solution-driven environment and you'll be required to negotiate contracts with customers from many different industry sectors.

You'll work alongside and advise key stakeholders and business partners across the company including sales, marketing, finance, engineering and customer operations.

What You'll Do :

  1. Review, negotiate and advise upon commercial contracts including Non-Disclosure Agreements, Services Agreements (as Vendor and as Customer), Data Processing Agreements (POPIA, GDPR, UK GDPR, CCPA, HIPAA), Channel Partner Agreements (including distribution), Technology Alliance Agreements, Software License Agreements.
  2. Assist with the submission of responses to Requests for Information / Requests for Proposals, relating to both public and private sector entities.
  3. Draft contractual provisions and standard terms.
  4. Advise on anti-trust and competition law requirements.
  5. Review and update contractual templates and maintain version control.
  6. Assist with contractual policy and process development.
  7. Format, proof, and finalise contractual documentation and manage the signature process.
  8. Conduct legal research and analysis.
  9. Provide support for legal operations initiatives and represent the legal team in cross-functional project meetings.
  10. Assist with legal due diligence and other ad-hoc corporate matters.

  • Ability to communicate clearly and effectively with internal and external stakeholders.
  • Strong analytical skills and attention to detail.
  • Ability to work autonomously with initiative and confidence, and also as part of a team.
  • Commercial acumen with the ability to recognize and balance risk.
  • Effective prioritization and adaptability to changing priorities.
  • A can-do attitude and flexible approach.

Qualifications :

  • Qualified Lawyer with current practicing rights in the UK, South Africa, Massachusetts, New York, Delaware, or California.
  • Minimum of 3 years post-qualification experience within the technology (preferably SaaS) space negotiating, drafting, and advising on commercial contracts.
  • Experience of Data Protection Law and/or IP Law is an advantage.
