Duties and Responsibilities:

  • Prepare and file CIPC submissions and maintain statutory records.
  • Advise investment managers on compliance with MOIs, company policies, and the Companies Act.
  • Support corporate transactions, including drafting resolutions and implementing board decisions.
  • Organise and manage board and committee meetings, including agendas, minutes, and follow-ups.
  • Draft and review board documents, reports, and annual statutory documentation.
  • Liaise with shareholders, directors, CIPC, and internal departments.
  • Monitor and interpret legislative changes affecting governance and compliance.

Requirements:

  • Post-matric Diploma or Advanced Certificate in a relevant field.
  • Minimum 5 years in a company secretarial or governance role.
  • Strong understanding of the Companies Act, governance principles, and compliance frameworks.
