The Impact You'll Make in this Role

Solventum Johannesburg is growing! We are seeking a skilled and proactive Corporate Governance Administrative Assistant to support the organization's governance framework, ensuring compliance with legal, regulatory, and internal corporate governance standards.

This role involves assisting with board and committee operations, maintaining statutory records, and facilitating effective communication between stakeholders to promote sound governance practices.

Here's how you'll make an impact:

  1. Board and Committee Support: Organize and schedule board and committee meetings, including preparing agendas and distributing meeting packs. Take accurate minutes during meetings and ensure follow-up on action items. Provide administrative support for board members, including managing travel arrangements and documentation.
  2. Compliance and Regulation: Maintain statutory registers and records (e.g., shareholder registers, director records). Ensure timely filing of statutory returns and other regulatory requirements (e.g., Companies House, SEC filings). Assist in compliance with corporate governance codes and practices.
  3. Policy and Procedure Development: Support the creation, review, and implementation of corporate governance policies. Monitor changes in relevant legislation and the regulatory environment and advise on necessary updates to governance frameworks.
  4. Stakeholder Communication: Act as a liaison between the board, senior management, and other stakeholders. Coordinate communication with shareholders and other key parties regarding governance matters.
  5. Risk and Audit Assistance: Collaborate with internal audit and risk management teams to ensure governance risks are addressed. Assist in managing internal governance reporting and ensure timely resolution of issues.
  6. Training and Development: Organize training for board members and senior executives on governance and compliance topics. Stay updated on governance best practices and emerging trends to provide informed guidance.
  7. Employee Engagement Activities: Assist in planning and organizing employee engagement events, including team-building activities, celebrations, and wellness initiatives. Coordinate logistics such as venue booking, catering, equipment setup, and vendor management. Support virtual and in-person events, ensuring they run smoothly and are well-received by employees. Prepare reports on engagement activity outcomes and metrics. Collaborate with HR and other departments to ensure alignment of engagement activities with organizational goals.

Qualifications And Skills

To set you up for success in this role from day one, Solventum requires the following qualifications and skills:

  1. Bachelor's degree / Professional Degree ideally.
  2. 5+ years experience in corporate governance or company secretarial role.
  3. Experience working with boards and senior executives.
  4. Excellent organizational and time-management skills.
  5. Fluent written and verbal English communication abilities.
  6. Discretion and ability to handle confidential information.
  7. Problem-solving skills and attention to detail.
  8. Customer-centric, collaborative, and excellence driven.

Work location

Onsite at our office in Fourways, Johannesburg.
