Job summary

Tract Capital Management seeks a Vice President, Corporate Counsel – Energy Project Development to support development, financing, construction, and operation of energy infrastructure powering Tract Capital’s digital strategies, including data centers. The role reports to the Senior VP, Senior Counsel and works with energy development, construction, supply chain, finance and project teams.

Qualifications

• JD required; admitted to state bar in good standing.
• 10+ years of legal experience in energy/infrastructure; in-house and/or law firm.
• Experience drafting/negotiating EPC, development, interconnection, energy supply, O&M, financing, and JV agreements.

Responsibilities

• Lead legal support for energy projects from development to operation.
• Advise on feasibility, site control, JV governance, and stage-gate decisions.
• Draft/negotiate development, JV, MOU, term sheets, and formation docs.
• Negotiate EPC and construction agreements; manage risk terms.
• Structure notices to proceed, early works, procurement, long-lead protections.
• Advise on permitting, environmental, interconnection, utility, ISO/RTO matters.
• Draft/negotiate PPAs, offtake, gas, transportation, and O&M agreements.
• Support financings: equity, debt, tax equity, security, lender rights.
• Manage project execution risks: changes, delays, disputes.
• Build templates and playbooks; collaborate cross-functionally.
