Job Description:

The Vice President, Commercial Operations Counsel is a senior executive role within OneOncology’s legal department. Taking overarching strategic direction from OneOncology legal leadership, this role will serve as the primary authority for all legal matters arising in commercial contracting, vendor relationship management, and platform-wide commercial operations matters across the

OneOncology enterprise.

This role entails implementing a commercial contracting strategy in accordance with leadershipnstrategic directives, driving execution, and serving as a trusted advisor to senior leadership on the commercial agreements and vendor relationships that underpin OneOncology’s MSO platform. The VP, Commercial Operations Counsel will build and lead a team of legal professionals, establish

scalable contracting infrastructure, and ensure that OneOncology’s commercial relationships are structured, negotiated, and managed to maximize value, manage risk, and support the company’s mission.

This is a high-impact opportunity to shape the commercial legal foundation of one of the nation’s leading community oncology platforms at a time of significant growth, with an expanding vendor ecosystem, new practice integrations, and increasing sophistication in the company’s commercial and strategic partnership arrangements.

Responsibilities:
Commercial Contracting Oversight & Contract Lifecycle Management
  • Serve as subject matter authority for all commercial contracting, vendor management, and platform commercial operations legal matters.
  • Assist senior leadership in developing and executing on the company’s commercial legal strategy, including contracting infrastructure, vendor governance frameworks, and risk management standards across the OneOncology platform.
  • Proactively identify emerging legal, regulatory, and market developments affecting commercial arrangements in the healthcare MSO space — including Anti-Kickback Statute (AKS) and Stark Law implications for vendor and service relationships, group purchasing safe harbors, and evolving commercial best practices — and develop enterprise-level response strategies.
  • Lead the review, drafting, negotiation, and execution of the full range of commercial agreements across the OneOncology enterprise, including master services agreements, statements of work, group purchasing and supply agreements, exclusive vendor contracts, strategic alliance agreements, software and technology agreements, marketing and referral arrangements, and real estate and equipment leases.
  • Serve as primary authority on all legal issues arising in commercial contract matters, with oversight of the full contracting lifecycle from initial engagement and term sheet through negotiation, execution, and post-execution compliance and renewal management.
  • Collaborate with peer leadership and regulatory legal team to ensure regulatory-related issues, including AKS, Stark law, HIPAA and fair market value considerations, are appropriately addressed in commercial contracting.
  • Establish and continuously improve enterprise-wide contracting frameworks, standardized templates, playbooks, and fallback positions for commercial agreements — enabling speed, consistency, and risk discipline across the organization.
  • Implement and oversee a contract lifecycle management (CLM) system or process to ensure visibility into key contract terms, obligations, renewal dates, and compliance requirements across the OneOncology vendor and partner portfolio.
  • Advise business stakeholders on pricing, deliverables, service scope, warranties, indemnification, liability caps, and other material commercial terms to protect OneOncology’s interests and support favorable outcomes.
M&A, Integration & Growth Support
  • Provide strategic legal support for M&A transactions, practice acquisitions, and integrations, with primary responsibility for commercial and vendor-related legal workstreams, including contract assignment, novation, and consolidation of acquired commercial relationships.
  • Advise on commercial legal matters arising from the expansion of OneOncology’s urology MSO platform and any additional specialty verticals, including vendor consolidation, new supplier relationships, and commercial infrastructure build-out.
  • Partner with the operations, integrations, and business development teams to deliver timely and practical legal support for new practice onboarding and strategic growth initiatives.
Team Leadership & Department Management
  • Build, lead, and mentor a high-performing team of attorneys and legal professionals supporting commercial operations and contracting across the OneOncology platform.
  • Manage and optimize the use of outside counsel for specialized matters, ensuring quality, efficiency, and cost-effectiveness.
  • Establish performance standards, development plans, and accountability frameworks for team members, fostering a culture of excellence, responsiveness, and business partnership.
Cross-Functional Collaboration
  • Act as a strategic business partner to senior leaders across commercial operations, finance, procurement, business development, technology, and practice operations — delivering clear, practical legal guidance that enables fast and confident decision-making.
  • Collaborate closely with the VP, Healthcare & Operations Counsel and other legal department leaders to ensure alignment across practice-facing and platform-wide commercial legal matters.
  • Support the compliance function in ensuring that commercial programs, vendor arrangements, and partner relationships are consistent with OneOncology’s compliance policies and applicable law.
  • Additional responsibilities as assigned to help drive our mission of improving the lives of everyone living with cancer.
Qualifications:
  • Juris Doctorate from an accredited law school.
  • Active member of a state or DC bar.
  • 12+ years of relevant legal experience in a law firm, corporate legal department, or combination thereof, with significant in-house experience strongly preferred.
  • Substantial experience as the primary legal owner of commercial contracting and vendor management functions at a senior level.
  • Prior experience in a VP, Senior Counsel, or equivalent leadership role managing legal teams and department functions.
  • Demonstrated expertise in commercial contract drafting, negotiation, and lifecycle management across a broad range of agreement types.
  • Healthcare industry experience required; experience in an MSO, physician practice management, specialty pharmacy, or related healthcare services environment strongly preferred.
  • Track record of building and scaling contracting infrastructure in a high-growth environment.
  • Experience with group purchasing organizations (GPOs), exclusive vendor programs, or similar commercial structures in healthcare a plus.
Essential Competencies

  • Proven track record of building scalable contracting infrastructure, including templates, playbooks, CLM systems, and governance frameworks in a high-growth environment.
  • Strong leadership presence with demonstrated ability to build, develop, and retain high-performing legal teams.
  • Excellent business judgment with the ability to balance legal risk and commercial agility in a fast-paced environment, providing practical, solutions-oriented counsel.
  • Superior communication and interpersonal skills, with the ability to advise and influence C-suite executives, operational leaders, and vendor partners.
  • Experience supporting M&A transactions and commercial integration of acquired entities strongly preferred.
  • Familiarity with contract lifecycle management (CLM) platforms and legal operations best practices.
