Job summary

Larson Maddox represents a publicly traded industrial and advanced technology company seeking a Vice President, Associate General Counsel to lead corporate, securities, governance, and strategic transaction matters in Las Vegas, NV.

This role partners with executive leadership and finance teams to support growth, oversee SEC reporting and disclosures, and drive capital markets activities, including M&A, joint ventures, and divestitures.

Qualifications

• J.D. from an accredited law school and active bar membership.
• Significant experience in corporate law, securities law, M&A, and complex commercial transactions.
• Prior experience in a publicly traded company and/or leading law firm preferred.
• Demonstrated ability to advise executive leadership on strategic business initiatives.
• Strong business judgment, communication skills, and ability to operate in a fast-paced, growth-oriented environment.

Responsibilities

• Lead legal support for mergers, acquisitions, joint ventures, divestitures, strategic investments, and other corporate transactions.
• Advise senior leadership and the Board on corporate governance, securities law, and public company obligations.
• Oversee SEC reporting and disclosure matters, including periodic reports, proxy statements, earnings-related disclosures, and investor communications.
• Support capital markets activities, financing transactions, and other strategic corporate initiatives.
• Conduct legal due diligence, negotiate transaction documents, and manage external counsel.
• Partner with business and functional leaders to identify and mitigate legal, regulatory, and transactional risks.
• Assist with integration planning, post-acquisition matters, and broader corporate development activities.
• Contribute to the continued development of legal processes, governance frameworks, and compliance programs.

A growing publicly traded industrial and advanced technology company is seeking a Vice President, Associate General Counsel to lead a broad range of corporate, securities, governance, and strategic transaction matters. This role will serve as a key legal advisor to executive leadership and partner closely with finance, investor relations, strategy, and business leaders to support the company's growth objectives.

Key Responsibilities
