Job description

Lafayette Square is looking to add a lawyer to its team. This person would be focused on the firm’s real estate, credit and equity investment complex, including fund-formation, compliance activities and deal work. The lawyer would report to the Managing Director, Legal. This is an opportunity to join on the ground floor of a well-capitalized asset management company.

Responsibilities
  1. Provide initial and ongoing legal support for existing '40 Act Funds, private funds and separately managed account and complex corporate transaction and maintenance.
  2. Assistance with and legal support of registered investment adviser and small business investment companies.
  3. Preparation and negotiation of corporate transactions, including joint ventures, acquisitions, corporate restructuring and equity and debt fundraising.
  4. Support of and preparation documentation in support of software development business, including licensing, vendor contracting.
  5. Support of corporate governance management, including assistance with and preparation for board shareholder meetings and communications, maintaining board books and corporate documentation.
  6. Support, preparation and review investor communications (including due diligence questionnaires and marketing materials).
  7. Negotiate and monitor non-disclosure agreements, service provider agreements and other ancillary agreements.
Requirements
  1. Passion for impact investing required.
  2. Experience: 4-7 years (preference for experience both in a law firm’s financial services and investment management group and/or in-house at an alternative asset manager). Strong preference will be given to candidates with experience with registered investment advisers, real estate, credit and equity investment transactions.
  3. Candidates with accounting experience preferred; tax, intellectual property and/or human resources experience is beneficial.
  4. Strong academic credentials - Bachelor's Degree and Juris Doctor is required.
  5. Mature, responsible, and entrepreneurial qualities to complement the existing team.
  6. Clear, concise writing skills with an ability to distill complex topics.
  7. Strong interpersonal and communication skills.
