Job summary

JPMorgan Chase & Co.’s Global Investment Banking Legal Practice Group seeks a junior/mid-level attorney to focus on M&A transactional work, including buy/sell side and related proxy disclosures. You will review, draft, negotiate and advise on engagement letters, merger agreements, and other M&A documents, collaborating with Compliance and Litigation teams.

Qualifications

• JD degree and NY bar admission required.
• Extensive experience drafting and/or negotiating M&A documents.
• Excellent drafting skills, attention to detail, and ability to work independently.
• Strong analytical, problem-solving and legal research skills.
• Polished communication skills to convey complex legal issues to senior managers.
• Team player with ability to build consensus across a global matrix organization.
• Ability to work under pressure and manage multiple tasks.

Responsibilities

• Draft and / or negotiate engagement letters, indemnity letters, NDAs, etc.
• Review of fairness opinions, valuation presentations, merger agreements, M&A related proxy statements and registration statements and other M&A transaction agreements.
• Provide guidance on new and existing legal and regulatory requirements to internal business partners, including Compliance, Conflicts and Litigation.
• Partner with senior attorneys to assist with training and other department initiatives.
• Manage and update template documents, such as contracts, guidelines, memos and other documents.
• Contribute to the development of industry positions on market developments.
