Job summary

Foley & Lardner is seeking a corporate associate in our Silicon Valley office to support a Transactions Practice Group. The role focuses on venture capital financing, M&A, private equity, and general corporate counseling for public and private companies and investors.

The ideal candidate will have 2–5 years of experience, sophisticated drafting and project management skills, and be comfortable interacting with partners and clients. JD from ABA-approved school and CA Bar in good standing required.

Qualifications

• 2–5 years of relevant corporate associate experience in transactional law.
• Experience with venture capital/early-stage financings, M&A, private equity, and general corporate counseling.
• JD from ABA-approved law school and active California Bar is required.

Responsibilities

• Handle venture capital financings, mergers and acquisitions, dispositions and other corporate transactions for a mix of clients.
• Draft and negotiate transactional documents with attention to detail and risk allocation.
• Interact directly with partners and clients, providing clear communication and project updates.

Job description

• Foley & Lardner is seeking a corporate associate with 2-5 years of relevant experience to join the Transactions Practice Group in our Silicon Valley office.
• The position will involve handling a mix of emerging companies & venture capital (ECVC) financing, M&A, private equity, and general corporate counseling for publicly and privately held companies, private equity funds, and other investors and entrepreneurs. The associate would be joining a growing, energetic and collaborative culture that values character, work ethic and personal/professional development.
• Qualified candidates must have experience working on venture capital/early-stage financings, mergers, acquisitions, dispositions, joint ventures, and other commercial transactions, in addition to general corporate experience.
• The ideal candidate will have sophisticated document drafting and project management skills, a positive attitude, strong interpersonal skills, an exceptional work ethic, and must be comfortable having direct interaction with partners and clients. Strong writing and communication skills are required.
• To be considered, a candidate must hold a JD from an ABA-approved law school and must be in good standing and an active member of the California Bar.
