A law firm seeks an experienced Transactional Tax Partner to join its fully remote team. The ideal candidate will have at least 8 years of experience in corporate and transactional tax law, focusing on mergers, acquisitions, partnerships, and private equity structures. Expertise in U.S. tax law, including capital markets transactions and foreign investments, is required. The candidate should have a proven track record of managing complex transactions and advising clients on sophisticated tax matters. A portable client base generating at least $250,000 annually is essential.
Duties:
- Advise clients on corporate mergers, acquisitions, and divestitures with tax-efficient strategies.
- Provide counsel on partnership structures, LLCs, joint ventures, and private equity arrangements.
- Assist in private equity fund formation, real estate investments, and REIT structures.
- Guide clients on tax implications of capital markets transactions and financing structures.
- Advise on U.S. tax law as it applies to foreign entities engaged in U.S. business.
- Address state and local tax issues related to corporate transactions and investments.
- Develop and maintain a portable client base generating a minimum of $250,000 in annual revenue.
Requirements:
- Minimum of 8 years of transactional tax experience, preferably with an AmLaw 200 firm or similar.
- Proven ability to manage complex, tax-driven corporate transactions.
- Self-sufficient with a strong track record in business development and client retention.
- A portable client base generating at least $250,000 annually or a robust growth plan.
- Experience in cross-border transactions and international tax is a plus.
Education:
- Juris Doctor (JD) from an accredited law school.
Certifications:
- Active bar membership in one or more U.S. states (Georgia preferred, but other states considered).
Skills:
- Deep understanding of U.S. tax law, especially in corporate transactions, M&A, and partnerships.
- Experience advising on private equity, real estate investments, and REITs.
- Strong knowledge of tax implications in capital markets transactions and financing.
- Familiarity with tax issues related to foreign investments and international business.
- Excellent client management and business development skills.
- Ability to work independently and manage a remote practice effectively.
