Job summary

SR Staffing represents a highly regarded law firm in New York City seeking an experienced Transactional Paralegal for a contract-to-hire role. The position supports attorneys in forming, managing, and administering private investment funds, including private equity, hedge funds, venture capital funds, and other investment vehicles.

The ideal candidate has 2+ years in investment funds or corporate transactional support, with strong fund formation and regulatory filing experience.

Qualifications

• Bachelor's degree or ABA-approved Paralegal Certificate preferred or required.
• 2+ years of investment funds, private equity, hedge fund, or corporate transactional paralegal experience.
• Experience supporting fund formation and private investment fund matters within a law firm.
• Strong understanding of partnership, LLC, and corporate entity structures.
• Experience with investor subscription documentation and fund closings.
• Proficiency with MS Office Suite (Word, Excel, Outlook).
• Exceptional organizational skills with attention to detail.
• Ability to manage multiple priorities and tight deadlines.
• Excellent written and verbal communication skills.

Responsibilities

• Assist attorneys with the formation and ongoing maintenance of private investment funds (private equity, VC, hedge funds, real estate funds).
• Prepare fund formation documents, subscription agreements, investor questionnaires, side letters, and closing binders.
• Coordinate fund closings and investor onboarding processes.
• Maintain corporate records, formation documents, and governance materials for funds and management companies.
• Support preparation and filing of regulatory documents and state filings.
• Track investor commitments, capital contributions, distributions, and related documentation.
• Conduct legal and corporate research related to fund structures and regulatory requirements.
• Coordinate with clients, investors, opposing counsel, fund administrators, and service providers.
• Manage document databases, deal rooms, and electronic file organization.
• Assist with due diligence reviews and compliance-related projects.
