Job description

A leading international law firm is seeking a Senior Paralegal Specialist to support its Investment Funds practice in the Dallas office. This position will work primarily on specific clients and transactions, provide general assistance to project teams of attorneys, and support attorneys whose practices involve investment funds and related corporate matters. The Senior Paralegal Specialist may also monitor regulations, legal developments, and compliance procedures within their area of expertise. This role may provide general supervision to Project Assistants and other clerical staff and assist with the training of paralegals. The ideal candidate will be committed to providing superior service to attorneys, clients, and staff while working collaboratively in a fast-paced environment.

Key Responsibilities
  • Develop and maintain corporate structure documentation for key clients by monitoring and tracking acquisitions and other organizational and structure changes.
  • Coordinate and manage Securities and Exchange Commission filings, including EDGAR Next, Form ADV, Blue Sky, Commodity Futures Trading Commission filings, and IRS filings, including SS-4s and 8832s.
  • Manage regulatory filing preparation, submission, credential management, ongoing maintenance, deadlines, and compliance requirements.
  • Coordinate and manage SEC filings for private fund advisers and investment funds, including preparation, review, submission, and maintenance of regulatory filings and related disclosures.
  • Manage all aspects of fund secondary transactions, including investor transfers, assignments, admissions, KYC documentation, consent processes, and closing coordination.
  • Assist with the organization of client materials and attorney work product using Microsoft Word, Excel, PowerPoint, and AI platforms.
  • Maintain forms and databases relating to partnerships, corporations, limited liability companies, and other corporate entities, and research state filing requirements.
  • Assist with ongoing administrative client matters, including preparation of routine and special board resolutions and amendments to formation certificates and entity operating agreements.
  • Form and qualify entities to do business in various states and jurisdictions, including coordinating with foreign counsel in jurisdictions such as the Cayman Islands, Marshall Islands, Anguilla, and Luxembourg.
  • Under attorney supervision, draft, edit, conform, and assist with the preparation of legal documents, including certificates of formation, incorporation, limited partnership agreements, and limited liability agreements.
  • Oversee preparation of transaction binders and closing sets, including client and investor distributions and signature page assembly.
  • Maintain files and project records, circulate materials to project teams, and maintain chronological records of project activity.
  • Coordinate with outside contractors, filing and registered service providers, and foreign counsel.
  • Act as liaison between project teams, support departments, and other offices, including coordinating special staffing needs when necessary.
  • Perform Apostille procedures involving the certification and authentication of legal documents.
  • Coordinate the work of other paralegals, project assistants, or clerical team members as requested.
  • Perform other duties as assigned.
Qualifications
  • Bachelor's degree required.
  • 8+ years of paralegal experience required, with an emphasis on investment funds experience within a law firm setting.
  • Legal Assistant or Paralegal certification desirable but not required.
  • Demonstrated expertise in business structures, ownership, and taxation issues.
  • Strong organizational and time management skills.
  • Thorough knowledge of Microsoft Office applications, including Word, Excel, Outlook, and PowerPoint.
  • Familiarity with Adobe Professional and Adobe Acrobat.
  • Excellent written and verbal communication skills.
  • Ability to quickly learn and adapt to new AI platforms and emerging technologies, including CoPilot, Harvey AI, and ndMAX.
  • Ability and willingness to work with complex procedures.
  • Strong attention to detail.
  • Ability to manage multiple priorities and adapt to changing priorities.
  • Ability to work independently and collaboratively as part of a team.
  • Strong analytical and problem-solving skills.
