Job summary

The established Chicago law firm is seeking a Transactional Attorney with strong corporate and commercial transaction experience. The role involves handling M&A, corporate and related matters for entrepreneurs, developers, investors, lenders, and closely held businesses.

Responsibilities include drafting, negotiating, and independently managing matters while collaborating with attorneys across practice areas; due diligence, document review, and preparation of transaction documents.

Qualifications

• J.D. from an accredited law school.
• 4+ years of substantive transactional experience.
• Strong experience with corporate/M&A and commercial transactions.
• Experience with commercial real estate, private equity, lending or related transactional work is highly valued.
• Strong contract drafting and negotiation skills.
• Excellent written and verbal communication skills.
• Strong attention to detail and ability to manage deadlines.

Responsibilities

• Handle mergers and acquisitions and other corporate transactions
• Draft, review and negotiate sophisticated commercial agreements
• Assist with business formations, restructurings and corporate governance
• Work on financing and lending matters
• Conduct due diligence and review transaction-related documents
• Prepare corporate resolutions, disclosure schedules and other transaction documents
• Independently manage assigned matters from beginning through completion
