BCG Attorney Search in Oakland, CA seeks a Mid-Level Transactional Attorney with 3-5 years of experience in complex transactional matters to join the IP Practice Group. You will draft, review, and negotiate agreements and advise on franchise law with training provided for the right candidate.

Ideal candidates have strong drafting and negotiating skills, research abilities, and are comfortable using AI-powered legal tools while managing multiple matters independently and pursuing a path toward

Qualifications

• 3–5 years of transactional experience including contract analysis and drafting.
• Experience in corporate and commercial matters; litigation, trademark regulatory compliance, and/or data privacy a plus.
• Superior drafting and negotiating skills.
• Excellent research skills and familiarity with AI-powered legal tools.
• Strong verbal and written communication skills.

Responsibilities

• Draft, review, and negotiate contracts, including master service agreements and license agreements.
• Draft and revise Franchise Disclosure Documents and related agreements.
• Respond to comment letters from state regulators.
• Advise clients on compliance with federal and state franchise laws.
• Advise on franchise sales compliance, renewals, and terminations.
• Analyze and implement exemption-based franchise sales strategies.
• Research and provide advice on various legal issues.
• Manage client communication and expectations.
• Participate in business development and networking within the franchise community.
