Job summary

Stinson LLP seeks an Associate with 1 – 3 years of experience to join our Minneapolis, Minnesota office in our Private Business Division. Qualified candidates will have at least 1 – 3 years of relevant experience, possess excellent academic credentials and have strong writing, analytical, organizational, and communication skills.

Relevant experience includes experience with corporate governance, entity selection and formation, mergers and acquisitions, contract negotiations, business succession

Qualifications

• 1–3 years of relevant experience in business law.
• Strong writing, analytical, organizational, and communication skills.
• Experience in corporate governance, entity formation, M&A, contract negotiations, and private equity. (relevant to role)

Responsibilities

• Assist with merger and acquisition transactions, including due diligence, document review, and drafting ancillary transaction documents under attorney supervision.
• Assist with entity ownership matters, including drafting and reviewing buy-sell agreements, minority/majority investment documents, and executive compensation arrangements.
• Assist with contract review and negotiations across a range of commercial agreements, including supplier, vendor, distribution, and consulting agreements.
• Assist with private equity transactions, including supporting due diligence efforts and drafting and reviewing transaction documents.
• Support attorneys in advising clients on entity formation matters, including corporations, limited liability companies, and partnerships; and succession planning for closely-held and family-operated businesses.
• Assist in delivering outside general counsel services to private and closely-held business clients on day-to-day legal matters.
