About the Role:

A respected law firm in the commercial real estate and financial services industry is hiring a Transaction Associate to join its growing practice. With over 25 attorneys and a reputation for excellence, our client offers a dynamic and collaborative work environment focused on professional growth and mentorship.

Key Responsibilities:

• Draft, negotiate, and close commercial lending and real estate finance transactions
• Review lender credit approvals and prepare related loan documentation
• Conduct and analyze due diligence, including UCC searches and title reviews
• Negotiate title insurance policies and ensure proper collateral perfection
• Collaborate with borrower’s counsel and third parties to negotiate deal terms
• Prepare and review Subordination Non-Disturbance and Attornment Agreements (SNDAs)
• Draft and negotiate zoning opinions and land use documentation
• Structure and negotiate participation, syndication, and intercreditor agreements
• Draft loan modification, forbearance, and workout agreements
• Review organizational documents and authorizations for all involved entities
• Manage multiple deals simultaneously with high attention to detail
• Support client development efforts and contribute to business origination over time

Required Qualifications:

• 2+ years of experience in commercial lending, real estate finance, or loan workouts (law firm or in-house legal department)
• A JD and admission to the Massachusetts Bar
• Familiarity with affordable housing or community development finance is a plus
• Strong organizational, interpersonal, and legal drafting skills
• A team-first attitude and an eagerness to grow professionally in a fast-paced legal setting
