We currently have an exciting opportunity for a Senior Associate to join our Sale and Purchase Agreement team within the Restructuring and Dispute Resolution Advisory practice.

This position is considered remote, allowing flexibility in location, though some presence at a CohnReznick office may be required for client work, meetings, or training with prior notice.

Your Team

This role supports our Sale and Purchase Agreement (SPA) Advisory and Purchase Price Disputes practice, providing a broad range of services to clients and opportunities for professional growth. You will collaborate with team members across all levels.

Your Role

Responsibilities include:

  • Review M&A sale and purchase agreements, including financial provisions and dispute resolution processes
  • Support negotiations and financial due diligence findings
  • Assist in preparing closing balance statements
  • Support purchase price dispute projects related to working capital, earnouts, and warranties
  • Draft submissions and reports for arbitration or neutral accountants
  • Conduct GAAP research
  • Assist with forensic investigations and litigation support
  • Coordinate with team and management on project expectations and deliverables
  • Communicate engagement reports effectively to clients
Qualifications

The ideal candidate will have:

  • 3+ years of transaction advisory or forensic accounting experience
  • Experience in forensic accounting, insolvency, fraud investigation, financial modeling, and financial statement analysis
  • Bachelor’s degree in Accountancy, Finance, or related field
  • CPA preferred
  • Strong knowledge of US GAAP
  • Experience with M&A, forensic accounting, or litigation support
  • Excellent analytical, communication, and project management skills
  • Proficiency in Excel and PowerPoint
  • Ability to manage multiple projects and work in a team environment
  • Willingness to work additional hours and travel as needed
