Qualifications

• J.D. from ABA-accredited law school and active Texas license or eligibility.
• 3+ years in contracts/transactional/commercial law; insurance/TPA experience preferred.
• Experience with TPA/administrator agreements and RFP processes is a plus.
• Strong drafting, review, and negotiation skills; ability to handle high-volume workload under deadlines.

Responsibilities

• Maintain and update TPA contract templates, due diligence materials, and review standards.
• Draft, review, and negotiate TPA and administrator agreements and related exhibits (data security, HIPAA BAAs, SLAs).
• Own end-to-end TPA contracting process from intake to execution and post-signature tracking.
• Lead responses to RFIs/RFPs and DDQs in coordination with Compliance, Operations, IT/Security, and stakeholders.
• Draft and negotiate non-TPA agreements (vendor, procurement, real estate) as needed.
• Identify and negotiate resolution of legal and business risk in contracts; address licensing, audit rights, indemnification, data security, termination provisions.
• Coordinate with licensing/regulatory teams to ensure compliance in contracts.
• Track contract status, renewal/transition deadlines; escalate time-sensitive items.
• Collaborate with business owners and Compliance to translate program objectives into contract terms.
• Coordinate with outside counsel for high-risk or complex transactions.
• Advise on contract interpretation, compliance, and dispute avoidance.
• Maintain organized contract and RFP files; perform other duties as assigned.
