Job summary

An associate role in the Technology Transactions Group at a leading US corporate law firm in Seattle invites applications. The ideal candidate will bring 4–6 years of transactional and licensing experience representing life science companies, including biotech, pharmaceuticals, digital health, and devices.

A science or engineering background and in-house exposure are valued. Strong communication and client management skills are essential.

Responsibilities

• Counsel clients on day-to-day matters and lead the structure and negotiation of complex transactions.
• Handle licensing, partnering, and collaboration agreements for life science clients.
• Represent client interests in mergers, acquisitions, divestitures and joint ventures when applicable.

The ideal candidate must have 4-6 years of transactional and licensing experience, focused on representing life science companies. Have an interest in the dynamic world of life sciences, including biotechnology, pharmaceuticals, digital health, medical devices, diagnostics, and discovery tools. A biological science, chemistry, engineering, pharmacy and/or business background or relevant in-house legal experience, will be considered favorably. Superior academic credentials and excellent verbal, written, and interpersonal skills.

Experience should include all or some of the following:

• complex partnering and licensing arrangements
• agreements with academic or research institutions
• research and development agreements
• manufacturing, supply, and distribution agreements
• clinical trial arrangements
• material transfer and non-disclosure agreements
• mergers, acquisitions, divestitures, spin-outs and joint venture transactions for companies in the life sciences sectors

Successful candidates must be comfortable with significant client interaction, including counseling clients on day-to-day matters, and a desire to grow into a role leading the structure and negotiation of complex strategic transactions for clients.
