Job summary

A leading international law firm in Chicago is seeking a Technology Transactions Associate to join its Chicago office. This role combines sophisticated technology agreements with the tech/IP elements of major corporate transactions, servicing a diverse client base across software, AI, life sciences and more.

The associate will draft, structure and negotiate a broad range of tech and commercial agreements and advise on tech/IP aspects of M&A, financings, joint ventures and strategic investments.

Qualifications

• 3–6 years of relevant law firm experience.
• Strong drafting and negotiation skills in technology transactions.
• Experience with IP licensing, outsourcing & complex commercial agreements.
• Admitted in Illinois or eligible to obtain admission.

Responsibilities

• Draft, structure and negotiate technology and commercial agreements, including SaaS, cloud services, software licensing, development, outsourcing, consulting, distribution and data agreements.
• Advise on the technology and IP aspects of mergers and acquisitions, financings, joint ventures and strategic investments.
• Work closely with corporate, private equity, privacy, cybersecurity, regulatory and tax attorneys across the firm.

$260,000 to $390,000 base salary, plus bonus

A leading international law firm is seeking a Technology Transactions Associate to join its Chicago office.

This is an opportunity for an attorney who wants to combine sophisticated commercial agreements with the technology, data and intellectual property elements of major corporate transactions. The practice advises public companies, private businesses, investors and private equity sponsors across software, artificial intelligence, life sciences, financial services, energy, consumer products and media.

The Role

The associate will draft, structure and negotiate a broad range of technology and commercial agreements, including SaaS, cloud services, software licensing, development, outsourcing, consulting, distribution, collaboration and data agreements.

The role will also involve advising on the technology and intellectual property aspects of mergers and acquisitions, financings, joint ventures and strategic investments. This will include due diligence, risk allocation, ownership, data use, licensing and the commercialization of intellectual property.

The successful associate will work closely with corporate, private equity, privacy, cybersecurity, regulatory and tax attorneys across the firm.

Candidate Profile

The firm is seeking an associate with 3 to 6 years of relevant law firm experience.

Candidates should have strong drafting and negotiation skills and experience involving technology transactions, intellectual property licensing, outsourcing, complex commercial agreements or the technology aspects of corporate transactions.

Experience with artificial intelligence, digital assets, software businesses or private equity transactions would be valuable but is not essential. A technical undergraduate degree is not required.
